In the event the Company shall, after good faith effort, be unable to take all such action as may be necessary to authorize such additional shares of Common Stock, to the extent permitted by applicable laws, each Right shall thereafter represent the right to receive, upon exercise thereof at the Purchase Price, a number of shares of Common Stock of the Company (up to the maximum number of shares which may be permissibly issued) equal to the number of Adjustment Shares.
For purposes of this Section 11(a)(iii), the per share value of the Adjustment Shares will be the Current Per Share Market Price of the Common Stock on the Flip-In Trigger Date and any Common Stock Equivalent will be deemed to have the same value as the value of the Common Stock on such date.
