Independent Majority definition

Independent Majority means a majority of the members of the board of directors of the Company who are neither Investor Directors (as such term is defined in the 2010 Purchase Agreement) nor employees of the Company.
Independent Majority has the meaning set forth in Section 10(a)(iii)(B).
Independent Majority means a majority of the votes cast at the applicable Clearwire Stockholder Meeting or shares voted pursuant to a written consent (excluding for the purposes of this calculation all abstentions, votes cast by a Stockholder and any of it affiliates, votes cast by Eagle River Holdings, LLC and any of its affiliates and votes cast by any director or executive officer of the Company (as specified in Item 401 of Regulation S-K of the Securities Act)).

  • The term "Independent Majority of Shareholders" shall mean the majority of the votes held by holders of shares of the outstanding Voting Stock that are not beneficially owned or controlled, directly or indirectly, by any Interested Person.

More Definitions of Independent Majority

Independent Majority of the Board means: (i) a majority of the members of the Board other than Indemnitee (if Indemnitee is then a member of the Board); or (ii) an absolute majority of the members of the Board if Indemnitee is not then a member of the Board.
Independent Majority shall have the meaning ascribed to it in 24.5.
Independent Majority means a majority of the Independent Directors present at a duly constituted meeting of the Board.

Related to Independent Majority

  • Required Majority means a required majority, as defined in Section 57(o) of the Act.7

  • Majority in Interest of the Partners means Partners holding in the aggregate Percentage Interests that are greater than fifty percent (50%) of the aggregate Percentage Interests of all Partners entitled to Consent to or withhold Consent from a proposed action.
