IDRB Documents definition

IDRB Documents means the Loan Agreements, the Tax Regulatory Agreements, the Project Tax Certificates, and the other Contracts related thereto to which Citizens is a party and which are listed on Schedule 1.1.52.
IDRB Documents has the meaning set forth in Section 6.14(m).
IDRB Documents means the IDRB Letter of Credit, the Indenture, and any other document executed by Core Molding in connection with the issuance and sale of the IDRB Bonds.

  • Buyer acknowledges and agrees that Seller's bond counsel may rely on Buyer's representations, warranties and covenants as hereinabove provided for the purpose of rendering legal opinions, as required by the IDRB Documents as a precondition to the sale by Seller of such Assets, to the effect that the sale of such Assets will not result in the inclusion of the interest on the Bonds in the gross income of the recipient for purposes of federal income taxation.

  • Nothing in this Agreement is intended to nor shall it be interpreted as (i) an assignment to, and assumption by, Buyer of any of the IDRB Documents, or (ii) as an undertaking or agreement by Buyer to assume, guarantee or pay any of Seller's loan or other payment obligations pursuant to the IDRB Documents.

More Definitions of IDRB Documents

IDRB Documents means, collectively, the Loan Agreements, the Tax Regulatory Agreements and Tax Representations and Project Certificates which are listed in Schedule 5.12 of the Purchase Agreement.
IDRB Documents means, collectively, the Loan Agreements, the Tax Regulatory Agreements, Tax Representations and Project Certificates to which Seller is a party or by which any of the Assets is bound, and relating to the Retained IDRB Indebtedness.

Related to IDRB Documents

  • L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.

  • DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.

  • Financing Documents means collectively the documents evidencing Lenders’ commitment to finance the Project.

  • Term Documents means the Term Credit Agreement, the Term Guaranties, the Term Collateral Documents, any Term Hedging Agreements between any Term Loan Party and any Term Hedging Affiliate, those other ancillary agreements as to which the Term Agent or any Term Lender is a party or a beneficiary and all other agreements, instruments, documents and certificates, now or hereafter executed by or on behalf of any Term Loan Party or any of its respective Subsidiaries or Affiliates, and delivered to the Term Agent, in connection with any of the foregoing or any Term Credit Agreement, in each case as the same may be amended, supplemented, restated or otherwise modified from time to time.

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.
