Guaranties, Etc. The Obligations are secured by a Guaranty in the form of Exhibit C (the “Guaranty”), duly executed by all Eligible Material Subsidiaries and other Subsidiaries of FIL that have executed the Guaranty or otherwise elected to become a party thereto, with such changes thereto as may be appropriate based on the law of the applicable jurisdictions. In addition, on the Effective Date, FIL shall deliver, or cause to be delivered, to Agent, (A) favorable written opinions, addressed to Agent for the benefit of the Lenders, covering such legal matters as Agent and the Lenders may reasonably request and otherwise in form and substance satisfactory to Agent and the Lenders, from counsel for each of the above-referenced Subsidiaries, (B) the Reaffirmation Agreement, duly executed by the parties thereto and (C) such other instruments, agreements, certificates and documents as Agent may reasonably request to secure, maintain, protect and evidence the obligations of such Subsidiary under the Guaranty.
