Participation Certificate means the original participation certificate, if any, that was executed and delivered in connection with a Participation Interest.
Swing Line Loan Participation Certificate a certificate substantially in the form of Exhibit H.
Applicable Participation Agreement Has the meaning specified in Section 5.01(b) of this Trust Supplement.
Lender Participation Notice has the meaning specified in Section 2.05(d)(iii).
Direct Loan Participation means a Loan in respect of which, pursuant to a participation agreement, the Issuer is capable of creating, or procuring the creation of, a contractual right in favour of a notional protection seller that provides such notional seller with recourse to the participation seller for a specified share in any payments due under the relevant Loan which are received by such participation seller, any such agreement to be entered into between (i) such notional seller and (ii) either (A) the Issuer (to the extent the Issuer was then a lender or a member of the relevant lending syndicate), or (B) a Qualifying Participation Seller (if any) (to the extent such Qualifying Participation Seller is then a lender or a member of the relevant lending syndicate);
Participation Agreements as defined in this Trust Supplement are the "Note Purchase Agreements" referred to in the Basic Agreement.
Allocation Certificate shall have the meaning set forth in Section 5.20.
Satisfaction Certificate means the certificate materially in the form of the document contained in Call Off Schedule 5 (Testing) granted by the Customer when the Supplier has Achieved a Milestone or a Test;
Participation Interests shall have the meaning specified in subsection 2.09(a)(ii).
Option Certificate means the certificate, substantially in the form set out as Schedule “A” hereto, evidencing an Option;
L/C Participation shall have the meaning provided in Section 3.3(a).
Completion Certificate means the certificate to be issued by the Engineer-In- Charge when the work/s has been completed to his satisfaction as per terms of the contract.
Participation Interest means the purchase by a Lender of a participation interest in Letters of Credit as provided in Section 2.2 and in Swingline Loans as provided in Section 2.3.
Information Certificate means the Information Certificate of Borrower constituting Exhibit A hereto containing material information with respect to Borrower, its business and assets provided by or on behalf of Borrower to Lender in connection with the preparation of this Agreement and the other Financing Agreements and the financing arrangements provided for herein.
Exemption Certificate is defined in clause (e) of Section 4.6.
Perfection Certificate Supplement means a certificate supplement in the form of Exhibit L-2 or any other form approved by the Collateral Agent.
Tax Exemption Certificate means the Tax Exemption Certificate approved under the terms of this Resolution and to be executed by the Treasurer and delivered at the time of issuance and delivery of the Notes.
Permitted Loan Purchase Assignment and Acceptance means an assignment and acceptance entered into by a Lender as an Assignor and Holdings, the Borrower or any of the Subsidiaries as an Assignee, as accepted by the Administrative Agent (if required by Section 9.04) in the form of Exhibit G or such other form as shall be approved by the Administrative Agent and the Borrower (such approval not to be unreasonably withheld or delayed).
Collateral Information Certificate the Collateral Information Certificate to be executed and delivered by the Borrower pursuant to Section 5.1, substantially in the form of Exhibit J.
Participation Agreement means, with respect to each Indenture, the "Participation Agreement" referred to therein.
Class N Certificate means any of the Certificates with a "Class N" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.
Participation Commitment means each Lender’s obligation to buy a participation of the Letters of Credit issued hereunder.
Transfer Supplement has the meaning set forth in Section 6.3(c) of this Agreement.
Investor Certificate means any one of the certificates (including, without limitation, the Bearer Certificates, the Registered Certificates or the Global Certificates) issued by the Trust, executed by the Transferor and authenticated by the Trustee substantially in the form (or forms in the case of a Series with multiple Classes) of the investor certificate attached to the related Supplement.
Occupation Certificate means any occupation certificate as referred to in s 6.4 of the Act in respect of the Development Consent;
Swingline Participation Amount as defined in Section 2.7(c).
