This Option Certificate is issued under and in accordance with the Option Agreement, dated as of October 20, 2001 (the "Option Agreement"), between the Company and the Option Holders and is subject to the terms and provisions contained in the Option Agreement, to all of which terms and provisions the Option Holder of this Option Certificate consents by acceptance hereof.
This Option Certificate shall terminate and become void as of the close of business on October 20, 2004 (the "Expiration Date"); provided, however, that if the last day for the exercise of the Options shall not be a Business Day, then the Options may be exercised on the next succeeding Business Day (as defined in the Option Agreement) following the Expiration Date.
This Agreement and each Option Certificate issued hereunder shall be deemed to be a contract made under the laws of the State of Delaware and for all purposes shall be construed in accordance with the laws of said State.
In the event of the redemption by the Company of the Option and the payment by the Company of the Call Price, the Option Certificate evidencing the Option in the name of the Option Holder shall be canceled.
In the event of an authorized transfer or assignment, the Company may treat the assignee of the Option Certificate as the new Option Holder thereof as the owner for all purposes.
