General Motors Building Pari Passu Companion Loans. With respect to the General Motors Building Loan Combination, the related promissory notes made by the related Mortgagor, secured by the General Motors Building Mortgage and designated as promissory notes A-1-A1, A-1-A2, X-0-X0, X-0-X0, X-0-X0, X-0-X0-0, X-0-X0-0, X-0-X0, A-1-S, A-2-A1, A-2-A2, A-2-A3, X-0-X0, X-0-X0-0, X-0-X0-0-X, X-0-X0-0-X, X-0-X0, A-2-S, A-3-A1, A-3-A2-2, X-0-X0, X-0-X0, X-0-X0-0, X-0-X0-0, X-0-X, X-0-X0, X-0-X0, X-0-X0, X-0-X0, X-0-X0, X-0-X0 and A-4-S, respectively, which are not included in the Trust and, to the extent set forth in the related Loan Documents and as provided in the General Motors Building Co-Lender Agreement, are pari passu in right of payment with the General Motors Building Mortgage Loan and generally senior in right of payment to the General Motors Building Subordinate Companion Loans, as any such promissory note may be amended, restated, replaced, extended, renewed, supplemented, consolidated, severed, split or otherwise modified from time to time. If any promissory note evidencing a General Motors Building Pari Passu Companion Loan is split and replaced with 2 or more replacement promissory notes, each such replacement promissory note will evidence a separate General Motors Building Pari Passu Companion Loan.

  • Serviced Pari Passu Companion Loan A Pari Passu Companion Loan that is part of a Serviced Loan Combination. With respect to each Servicing Shift Mortgage Loan and the related Servicing Shift Loan Combination, each related Pari Passu Companion Loan will cease to be a Serviced Pari Passu Companion Loan on and after the related Servicing Shift Date.

  • Serviced Pari Passu Companion Loan Holder A holder of a Serviced Pari Passu Companion Loan.

  • Pari Passu Companion Loan A Companion Loan that, pursuant to the related Loan Documents and/or the related Co-Lender Agreement, is pari passu in right of payment to the related Split Mortgage Loan. The only Pari Passu Companion Loans related to the Trust as of the Closing Date are evidenced by the Notes identified in the Loan Combination Table under the column heading “Pari Passu Companion Loan(s),” each of which Notes evidences a separate Pari Passu Companion Loan.

  • Serviced Companion Loan Securities Any commercial mortgage-backed securities that evidence an interest in or are secured by the assets of an Other Securitization Trust, which assets include a Serviced Companion Loan (or a portion thereof or interest therein).

  • Serviced Companion Loan A Companion Loan that is part of a Serviced Loan Combination. With respect to each Servicing Shift Mortgage Loan and the related Servicing Shift Loan Combination, each related Companion Loan will no longer be a Serviced Companion Loan on and after the related Servicing Shift Date.

  • Companion Loan As defined in the Introductory Statement.

  • REO Companion Loan Any Serviced Companion Loan if the related Mortgaged Property has become an REO Property.

  • Whole Loan As defined in the Introductory Statement.

  • Serviced Companion Loan Holder The holder of a Serviced Companion Loan.

  • Park Monaco Mortgage Loans The Mortgage Loans identified as such on the Mortgage Loan Schedule for which Park Monaco is the applicable Seller.

  • Companion Loan Holder The holder of a Companion Loan.

  • Note A-7 Securitization means the first sale by the Note A-7 Holder of all or a portion of Note A-7 to a depositor who will in turn include such portion of Note A-7 as part of the securitization of one or more mortgage loans.

  • Initial Mortgage Loans The Mortgage Loans included in the Trust as of the Closing Date.

  • Loan Combination shall include any successor REO Mortgage Loan and the related successor REO Companion Loan(s) (or the related deemed Companion Loan(s), if applicable)). The only Loan Combinations related to the Trust as of the Closing Date are identified in the Loan Combination Table.

  • Securitization Date means the effective date on which the Securitization of the first Note or portion thereof is consummated.

  • Note A-2 Securitization means the first sale by the Note A-2 Holder of all or a portion of Note A-2 to a depositor who will in turn include such portion of Note A-2 as part of the securitization of one or more mortgage loans.

  • Pool 1 Mortgage Loans Any Mortgage Loan in Pool 1.

  • Note A-5 Securitization means the first sale by the Note A-5 Holder of all or a portion of Note A-5 to a depositor who will in turn include such portion of Note A-5 as part of the securitization of one or more mortgage loans.

  • Note A-6 Securitization means the first sale by the Note A-6 Holder of all or a portion of Note A-6 to a depositor who will in turn include such portion of Note A-6 as part of the securitization of one or more mortgage loans.

  • Pledged Asset Mortgage Servicing Agreement The Pledged Asset Mortgage Servicing Agreement, dated as of February 28, 1996 between MLCC and the Master Servicer. Pooling and Servicing Agreement or Agreement: With respect to any Series, this Standard Terms together with the related Series Supplement.

  • Securitization Property means the property described in section 10j.

  • Note A-1 Securitization means the first sale by the Note A-1 Holder of all or a portion of Note A-1 to a depositor who will in turn include such portion of Note A-1 as part of the securitization of one or more mortgage loans.

  • Note A-2 Special Servicer means the special servicer under the Note A-2 PSA.

  • EMC Mortgage Loans Those Mortgage Loans serviced by the Company pursuant to the terms of this Agreement.

  • Note A-3 Special Servicer means the special servicer under the Note A-3 PSA.
