Founders’ Units definition

Founders’ Units means all the units, each consisting of one share of Common Stock and one Warrant each to purchase one share of Common Stock acquired by an Insider prior to the IPO.
Founders’ Units means the 25,875,000 Units issued by the Company to the Founders prior to the IPO, of which the Founders’ Shares and the Founders’ Warrants are a part; (viii) “Sponsors’ Warrants” shall mean the 12,000,000 Warrants to purchase shares of Common Stock to be issued to the Sponsors in a private placement immediately prior to the IPO; (ix) “Co-Investment Units” shall mean the 6,000,000 Units of the Company to be issued to the Sponsors in a private placement that will occur immediately prior to the consummation of a Business Combination by the Company; (x) “Co-Investment Shares” shall mean the Common Stock underlying the Co-Investment Units; (xi) “Co-Investment Warrants” shall mean the Warrants to Liberty Acquisition Holdings Corp. Founders’ Units means the 4,312,500 units purchased from the Company by ASM SPAC(1) Limited on December 12, 2007 (up to 562,500 of which Founders’ Units will be redeemed by the Company to the extent that the Underwriters do not exercise their over-allotment option) for a purchase price of $25,000, or approximately $0.006 per Founders’ Unit. Each Founders’ Unit consists of one Ordinary Share (each a “Founders’ Share”) and one warrant to purchase one Ordinary Share (each a “Founders’ Warrant”). In February 2008, (a) Xxxxx Xx purchased 215,625 Founders’ Units, (b) Xxxxxxx Xxx purchased 215,625 Founders’ Units, (c) Xxxxxxx Xxxx purchased 269,531 Founders’ Units and (d) Xxxxxxx Xxxxxxx purchased 53,906 Founders’ Units (an aggregate of 754,687 Founders’ Units) from ASM SPAC(1) Limited for approximately $0.006 per Founders’ Unit.

Examples of Founders’ Units in a sentence

  • All subscription funds received by the Company will be held in escrow pending the closing of the purchase of the Founders’ Units (the “Closing”).

  • The certificates evidencing the Founders’ Units and the Founders’ Shares will include the legend set forth on Exhibits A and B hereto, respectively, which the Purchaser has read and understands.

  • The Closing shall occur on such date as the Company has received complete and valid subscriptions (including full payment) for 100% of the Founders’ Units.

  • Each Unit of the Founders’ Units shall consist of one Founders’ Share and one Founders’ Warrant and shall have the terms set forth in the Unit Certificate attached as Exhibit A hereto.

More Definitions of Founders’ Units

Founders’ Units shall have the meaning given in the Recitals hereto.
Founders’ Units means the units being purchased privately by the Investors simultaneously with the consummation of the Company’s initial public offering (including to a certain extent in connection with the consummation of the underwriters’ over-allotment option related thereto).
Founders’ Units means the 10,000,001 units issued by the Company to the Founders prior to the IPO, of which the Founders’ Shares and the Founders’ Warrants are a part; (viii) “Sponsors’ Warrants” shall mean the 4,500,000 warrants to purchase shares of Common Stock to be issued to the Sponsors in a private placement immediately prior to the IPO; (ix) “Co-Investment Units” shall mean the 5,000,000 units of the Company to be issued to the Sponsors in a private placement that will occur immediately prior to the consummation of a Business Combination by the Company; (x) “Co-Investment Shares” shall mean the Common Stock underlying the Co-Investment Units; (xi) “Co-Investment Warrants” shall mean the warrants to purchase shares of Common Stock underlying the Co-Investment Units; and (xii) “Locked-Up Freedom Acquisition Holdings, Inc. Citigroup Global Markets Inc. Page 2 Securities” shall mean all issued and outstanding Founders’ Units, Founders’ Shares and Founders’ Warrants (including the shares of Common Stock to be issued upon exercise of the Founders’ Warrants) and all Sponsors’ Warrants (including the shares of Common Stock to be issued upon exercise of the Sponsors’ Warrants), Co-Investment Units, Co-Investment Shares and Co-Investment Warrants (including the shares of Common Stock to be issued upon exercise of the Co-Investment Warrants) to be issued after the date hereof in accordance with the terms and conditions set forth in the Prospectus.
Founders’ Units means the 21,562,500 Units issued by the Company to the Founders prior to the IPO, of which the Founders’ Shares and the Founders’ Warrants are a part; (viii) “Sponsors’ Warrants” shall mean the 12,000,000 Warrants to purchase shares of Common Stock to be issued to the Sponsors in a private placement immediately prior to the IPO; (ix) “Co-Investment Units” shall mean the 5,000,000 Units of the Company to be issued to the Sponsors
Founders’ Units means the 7,187,500 units of the Company, each consisting of one share of Founders’ Common Stock and one Founders’ Warrant, held by the Initial Stockholders prior to the IPO.
Founders’ Units means the 21,562,500 units of the Company issued to the Investors pursuant to the Founders’ Units Subscription Agreements, each dated as of August 9, 2007, between the Company and each of the Investors (or such lesser number of units that the Investors may hold if the Underwriters’ over-allotment option is not exercised in full by the Underwriters).
Founders’ Units means the 11,500,000 units of the Company initially issued to SP Acq LLC pursuant to the Founder's Units Subscription Agreement, dated as of March 22, 2007, between the Company and SP Acq LLC, of which a total of 1,363,636 Founder's Units were subsequently sold to certain other Investors.
