Over-Allotment Units definition

Over-Allotment Units means the additional number of Private Units the Sponsor will be required to purchase in the event that the underwriters in the Company’s initial public offering exercise their over-allotment option, as described in the prospectus relating to the Company’s initial public offering.
Over-Allotment Units has the meaning ascribed thereto in the third paragraph of this Agreement;

Examples of Over-Allotment Units in a sentence

  • The purchase and sale of the Over-Allotment Units, if required, shall be completed at such time and place as the Underwriters and the Corporation may agree, and in accordance with Section 12(1) above.

  • The applicable terms, conditions and provisions of this Agreement (including the provisions of Section 10 relating to closing deliveries) shall apply mutatis mutandis to the Closing of the issuance of any Over-Allotment Units pursuant to any exercise of the Over-Allotment Option.

  • The consideration for the Over-Allotment Units shall be an amount equal to the Over-Allotment Proceeds (the “Over-Allotment Consideration”).

  • Upon receipt of the Subsequent Distributed Units, the General Partner agrees to exchange such units with the Partnership, and the Partnership agrees to accept such exchange, for an equal number of General Partner Units in order to enable the General Partner to maintain its 2% general partner interest in connection with the issuance of the Over-Allotment Units.
