Forfeited Option definition

Forfeited Option means an Assumed Option that shall have been forfeited and prematurely cancelled (without ever having been exercised) prior to the scheduled termination date of such Assumed Option pursuant to the Company Option Plan during the period between the Effective Time and the Designated Date (it being understood that such scheduled termination date shall be determined without regard to any earlier termination of such Assumed Option by reason of a termination of the holder’s employment); and
Forfeited Option has the meaning set forth in Section 4.6(c).
Forfeited Option has the meaning specified therefor in Section ---------------- 6.09(b)(iii).

Forfeited Option means a Company Option outstanding immediately prior to the Effective Time held by an individual who does not deliver an executed Option Cancellation Acknowledgment to Buyer within [***] after the Closing.

Related to Forfeited Option

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Vested Options means the Options that have vested in accordance with Section 2.2 of this Agreement.

  • Director Option means an Option granted pursuant to Section 6.

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Nonqualified Option means any Option that is not an Incentive Stock Option.

  • Parent Stock Option means any option to purchase Parent Common Stock granted under any Parent Stock Plan.

  • Stock Option means a contractual right granted to an Eligible Person under Section 6 hereof to purchase shares of Common Stock at such time and price, and subject to such conditions, as are set forth in the Plan and the applicable Award Agreement.

  • Tandem Appreciation Right means an Appreciation Right granted pursuant to Section 5 of this Plan that is granted in tandem with an Option Right.

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Equity Award means any option, restricted stock award, restricted stock unit award, stock appreciation right or other equity award to acquire shares of the Company’s common stock granted or issued to the Executive.

  • RSU Award or “RSU” means an Award of restricted stock units representing the right to receive an issuance of shares of Common Stock which is granted pursuant to the terms and conditions of Section 5(a).

  • Share Option means a Nonqualified Share Option or an Incentive Share Option.
