Financing Shares definition

Financing Shares means, collectively, the shares of capital stock issued upon conversion or cancellation of the Notes.

Financing Shares means MHE Common Shares, if any, or warrants to purchase MHE Common Shares, if any, issued to purchasers of MHE Class A Preferred Shares referred to in the Term Sheets.

Financing Shares means shares of Common Stock, in an amount set forth in Section 2.2(a) and deliverable at Closing.

• The Valdy Consideration Shares issued to holders of INX Financing Shares shall be issued on a 1:1 basis, and all other Valdy Consideration Shares will be issued on the basis of 10.4871348 Valdy Consideration Shares for each INX Share (the “Conversion Ratio”).
