Financing Transactions means the execution, delivery and performance by the Borrower of the Loan Documents to which it is to be a party, the borrowing of Loans, the use of the proceeds thereof and the issuance of Letters of Credit hereunder.

Financing Transactions means the transactions undertaken by Holdings, the Borrower and the Subsidiary Loan Parties in connection with the execution and delivery of the Original Credit Agreement and the Subordinated Debt Documents in respect of the 1999 Senior Subordinated Notes, the issuance of the 1999 Senior Subordinated Notes and the borrowing of the initial Loans.

Financing Transactions means the transactions set forth in Exhibit F.
