For as long as the Investors (x) are entitled to any Investor Directors, (y) Beneficially Owns any Preferred Equity Interests or (z) Beneficially Owns more than 5% of the Common Stock of the Company (with Warrants counted on as-if-converted basis), the Investors shall not participate in any change of control transactions or direct equity, equity-linked or debt investments in any Prohibited Institution.
This Agreement shall terminate upon the earlier of (a) the date on which the Investors collectively cease to Beneficially Own any Preferred Equity Interests or Warrants and (b) written agreement of the parties hereto to terminate this Agreement; provided, however, that the termination of this Agreement shall not relieve any party hereto with respect to any liability for breach of this Agreement prior to such termination.
