Family Party definition

Family Party means, with respect to any natural Person, (i) any Family Member of such Person, (ii) any Person of which the applicable natural Person or Person in clause (i) owns, directly or indirectly, at least 20% of the outstanding equity interests or (iii) any Affiliate of any of the foregoing Persons in clauses (i) or (ii).
Family Party means all of the following: (a) Mark Xxxxxx (xxe "Designated Family Member"); (b) any fiancee and any current or former spouse of the Designated Family Member; (c) any lineal descendant (including by adoption) of the Designated Family Member; (d) any brother or sister of the Designated Family Member (each Person described in clauses (b), (c) and (d), a "Hughxx Xxxily Member"); (e) any of the following in his or her capacity as such: (i) the executor,

  • The liability of a Xxxxx Family Party under this Section 7(b) shall not exceed the amount of net proceeds received by such Xxxxx Family Party (net of underwriting discounts borne by such Xxxxx Family Party) from the sale of the Shares in the offering that is the subject of an indemnity claim under this Section 7(b).

  • This Agreement may not be assigned by either the Company or a Xxxxx Family Party without the prior written consent of the other party hereto; provided that the Company agrees that all transferees of all or substantially all of the Shares held by Xxxxx shall be accorded all of the registration rights of Xxxxx hereunder.

  • The Company and each Xxxxx Family Party acknowledge that it will be impossible to measure in money the damage to a party hereto if another party fails to comply with any of the obligations imposed by this Standstill Agreement, that every such obligation herein is material and that, in the event of any such failure, the non-breaching party will not have an adequate remedy at law or in damages.

  • Family home or "family residence" means the location or portion of a location where the applicant and his or her family reside, and may include basements and attics. It does not include other structures that are separate from the home but are considered part of the overall premises, such as adjacent apartments, unattached basements in multi-unit buildings, unattached garages, and other unattached buildings.

  • Family Company means a company that is owned directly or indirectly by or for two or more natural persons who are related as siblings or spouse (including former spouses), or direct lineal descendants by birth or adoption, spouses of such persons, the estates of such persons, or foundations, charitable organizations or trusts established for the benefit of such persons. In determining whether spouses who are making a joint investment in the Partnership are qualified purchasers, there may be included in the amount of each spouse’s investments any investments owned by the other spouse (whether or not such investments are held jointly). There shall be deducted from the amount of any such investments any amounts specified by paragraph 2(a) of Annex 2 incurred by such spouse. In determining whether a natural person is a qualified purchaser, there may be included in the amount of such person’s investments any investments held in an individual retirement account or similar account the investments of which are directed by and held for the benefit of such person.   • Non-Affiliate means, for any specified Person, any other Person that is not an Affiliate of the specified Person.

  • Family day home means a child day program offered in the residence of the provider or the home of any of the children in care for one through 12 children under the age of 13, exclusive of the provider's own children and any children who reside in the home, when at least one child receives care for compensation. The provider of a licensed or registered family day home shall disclose to the parents or guardians of children in their care the percentage of time per week that persons other than the provider will care for the children. Family day homes serving five through 12 children, exclusive of the provider's own children and any children who reside in the home, shall be licensed.   • Qualified Assignee means (a) any Lender, any Affiliate of any Lender and, with respect to any Lender that is an investment fund that invests in commercial loans, any other investment fund that invests in commercial loans and that is managed or advised by the same investment advisor as such Lender or by an Affiliate of such investment advisor, and (b) any commercial bank, savings and loan association or savings bank or any other entity which is an “accredited investor” (as defined in Regulation D under the Securities Act of 1933) which extends credit or buys loans as one of its businesses, including insurance companies, mutual funds, lease financing companies and commercial finance companies, in each case, which has a rating of BBB or higher from S&P and a rating of Baa2 or higher from Xxxxx’x at the date that it becomes a Lender and which, through its applicable lending office, is capable of lending to Borrowers without the imposition of any withholding or similar taxes; provided that no Person proposed to become a Lender after the Closing Date and determined by Agent to be acting in the capacity of a vulture fund or distressed debt purchaser shall be a Qualified Assignee, and no Person or Affiliate of such Person proposed to become a Lender after the Closing Date and that holds Stock issued by any Credit Party shall be a Qualified Assignee.
