Permitted Affiliate definition

Permitted Affiliate means with respect to any Person (a) any Person that directly or indirectly controls such Person, and (b) any Person which is controlled by or is under common control with such controlling Person. As used in this definition, the term “control” of a Person means the possession, directly or indirectly, of the power to vote eighty percent (80%) or more of any class of voting securities of such Person or to direct or cause the direction of the management or policies of a Person, whether through the ownership of voting securities, by contract or otherwise.

Permitted Affiliate means an entity that controls, is controlled or managed by, or is under common control, exclusively or non-exclusively, with Buyer, and/or those persons controlling and/or managing Buyer. No transfer or assignment by Buyer shall release or relieve Buyer of its obligations hereunder.

Permitted Affiliate means any individual that is a director or officer of the Company, of Parent, of a Subsidiary of the Company or of an Unrestricted Affiliate; provided, however, that such individual is not also a director or officer of Mafco Holdings or any Person that controls Mafco Holdings.

Examples of Permitted Affiliate in a sentence

• The development hereby permitted shall not be brought into use until the visibility splays shown on Drawing Number JMD 265-21A have been provided.

• Each Permitted Affiliate agrees to be bound by the obligations under this DPA and, to the extent applicable, the Agreement.

• The Beneficiary may not sell, participate, transfer, assign, exchange or otherwise pledge or convey all or any part of its right, title and interest in and to the Trust Certificate or its Beneficial Interest to any other Person, except to any Permitted Affiliate Transferee.

• No Transfer to a Permitted Affiliate Transferee shall be effective unless such Permitted Affiliate Transferee has executed such counterpart of this Agreement.

Permitted Affiliate means (1) any person, corporation or other entity which is controlled by, controls, or in common control with Tenant, or (2) any entity which merges with Tenant or acquires substantially all of Tenant's stock or assets, and in either case of (1) or (2) above, such person, corporation or other entity has a net worth as of the effective date of the assignment or sublease at least equal to the net worth of Tenant as of the date of execution of this Lease. "Control," as used in this Section 14.7, shall mean the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a person or entity, whether through the ownership of voting securities, by contract or otherwise.

Permitted Affiliate means an Affiliate of ORCA LLC having substantially the same principal personnel or personnel with comparable expertise and experience as that of ORCA LLC that (i) will professionally and competently perform duties similar to those imposed upon ORCA LLC under the Investment Advisory Agreement, (ii) is registered as an investment adviser under the Investment Advisers Act, (iii) shall not require registration of the Borrower or the Borrower’s assets as an “investment company” under the Investment Company Act and (iv) by its appointment will not cause the Borrower to be treated as a publicly traded partnership taxable as a corporation for U.S. federal income tax purposes or subject to U.S. federal, state or local income tax on a net income basis.

Permitted Affiliate has the meaning set forth in Section 4.11(c).

Permitted Affiliate means any individual that is a director or officer of the Company, of Revlon, Inc., of a Subsidiary of Revlon, Inc. or of an Unrestricted Affiliate; provided, however, that such individual is not also an officer or a director of Mafco Holdings or any Person that controls Mafco Holdings.

Permitted Affiliate means (a) any affiliate of a Term Loan Facility Lender whose identity has been disclosed in writing to Equity Investors in writing prior to September 12, 2008 and (b) any other affiliate of a Term Loan Facility Lender reasonably acceptable to Equity Investors.

Permitted Affiliate means those Affiliates of the Licensee named in the relevant Order Schedule.
