Existing Shareholders Agreements definition

Existing Shareholders Agreements means the Terms of Agreement entered into by the Shareholders as at the date of such Agreement;

Existing Shareholders Agreements means the protocol dated July 23, 1997, as amended, supplemented or otherwise modified from time to time, including its annexes and notably the put and call options with respect to the Target Shares, and any other shareholders’ agreements entered into by and between two or several Sellers other than Pacte Dutreil, if any;

Existing Shareholders Agreements means those certain Shareholders' Agreements between the Company and each of Greene, Verbrugge, Xxxxxx, and Xxxx, respectively, each dated March 31, 1997.

Examples of Existing Shareholders Agreements in a sentence

• In the Definitive Agreements, the Parties shall terminate, and shall release each other under, subject to the consummaton of the Transaction, the Existing Shareholders’ Agreements and other contracts that will be terminated due to the Transaction.

• If so, each of the Sellers acknowledges that all of his rights under the Existing Shareholders’ Agreements have been fully satisfied and that he has no claim and waives his rights in this respect against the Target, the other Sellers or any other Party.

• During the period from and including the date hereof until and including the Closing Date, each of the Sellers undertakes not to exercise any of its rights under the Organizational Documents of the Target and/or under the Existing Shareholders’ Agreements to which it is a party that may prevent the consummation of the transactions contemplated by this Agreement.

More Definitions of Existing Shareholders Agreements

Existing Shareholders Agreements means, collectively, the Amended and Restated Shareholders Agreement, dated as of February 28, 2011, by and among the Company, its shareholders and the other parties thereto, and the Amended and Restated Investors’ Rights Agreement, dated as of February 28, 2011, by and among the Company and certain of its shareholders.

Existing Shareholders Agreements shall have the meaning set forth in the recitals.

Existing Shareholders Agreements means, collectively, (i) the Amended and Restated Shareholders Agreement, dated as of March 7, 1995, by and among the Company and its stockholders and (ii) Tascher/Xxxxxxxx Shareholders Agreement, dated as of September 16, 1994, by and among the Company, the XX Xxxxxxx and Messrs. Xxxxxx Xxxxxxxx and Xxxx Xxxxxxx, as each may be amended, restated or modified from time to time.

Existing Shareholders Agreements means the Shareholders Agreement by and among Matrix Laboratories Limited, India Newbridge Investments Limited, Pxxxxx Xxxxxxxxxx, Pxxxxx Xxxxxxxxxx-HUF, G2 Corporate Services Limited, All Time Formulations Limited, Mxxx Xxxxxxxx, Cxxxx Xxxxxxxxxxxxx and Cxxxx Xxxxxxxxxxxxx-HUF, dated April 15, 2004 and the Shareholders Agreement by and among Matrix Laboratories Limited, Mxxxxxx Mauritius (Pte.) Limited, Pxxxxx Xxxxxxxxxx, Pxxxxx Xxxxxxxxxx-HUF, G2 Corporate Services Limited, All Time Formulations Limited, Mxxx Xxxxxxxx, Cxxxx Xxxxxxxxxxxxx and Cxxxx Xxxxxxxxxxxxx-HUF, dated April 15, 2004.
