Existing Project is a Project that has achieved Commercial Operation on or prior to the Execution Date.

Existing Project means a time-share, vacation plan, vacation ownership or ---------------- interval ownership resort or project which the Company or any of its Affiliates owns, operates or has commenced to develop, acquire or otherwise undertake as of the Termination Date.
