Excluded Member definition

Excluded Member means any Member that is an Affiliate of the Majority Member.
Excluded Member means any person or entity who falls within the Settlement Class definition but who elects to be excluded from the Settlement Class and submits a valid Request for Exclusion.
Excluded Member means a Member who, at the time the Company proposes to sell or issue any Equity Securities, either (a) is not an “accredited investor” (as such term is defined under the Securities Act), or (b) has materially breached any noncompetition, nonsolicitation or confidentiality provision to which such Member is bound pursuant to any Equity Agreement or this Agreement.
