Following such purchase, the Remaining Members shall continue the operation of the Company independently of the Excluded Member.
Excluded Member means a Member who is ineligible for Salary Continuance cover because the Member satisfies any one or more of the following: • a Member who has attained the Benefit Expiry Age when their cover commences or re-commences under the policy; • a Member who works less than 15 hours per week on a regular basis when their cover commences or re- commences under the policy; • a Member who is engaged or employed on a Casual basis; and/or • a member who is engaged in an Excluded Occupation.
Amounts borrowed under the Capex Loans and repaid may not be reborrowed.
This exclusion does not apply to any such member, partner, stakeholder or other owner of an entity (“Proposed Excluded Member”) who would have an interest greater than 25% if the combined percentages of all other members, partners, stakeholders or other owners (including beneficial interests in trusts) with whom the Proposed Excluded Member has an “Identity of Interest,” or a conflict of interest because of familial relation or common financial interest, exceeds 25%.
