If the Majority Member is unable or unwilling to serve, the Partnership Representative shall be appointed from amongst the remaining Members by a Majority of Interests of the Members.
The Members or the Majority Member, as applicable, may designate employees of the Company as officers of the Company (the "Officers") as they deem necessary or desirable to carry on the business of the Company and the Members or the Majority Member, as applicable, may delegate to such Officers such power and authority as the Members or the Majority Member, as applicable, deem advisable.
