Environmental Costs or Liabilities has the meaning set forth in Section 3.1(m)(iv).

There are no investigations of the Business or the Contributed Magnetation Assets pending or, to the knowledge of Magnetation, threatened which could lead to the imposition on the Company of any Environmental Costs or Liabilities or liens under any applicable Law.
