Environmental Costs or Liabilities definition

Environmental Costs or Liabilities has the meaning set forth in Section 3.1(m)(iv).
Environmental Costs or Liabilities means any losses, liabilities, obligations, damages, fines, penalties, judgments, settlements, actions, claims, costs and expenses (including, without limitation, reasonable fees, disbursements and expenses of legal counsel, experts, engineers and consultants, and the costs of investigation or feasibility studies and performance of remedial or removal actions and cleanup activities) in connection with (1) any Environmental Laws, (2) order of, or contract of Seller with, any Governmental Entity or any private or public persons or (3) any exposure of any person or property to Hazardous Substances;
Environmental Costs or Liabilities means any Losses, claims, demands, settlements and obligations (including costs relating to personal injury, death or property damage, reasonable fees, disbursements and expenses of legal counsel, experts, engineers and consultants, and the costs of investigation or feasibility studies and performance of corrective, remedial or removal actions and cleanup or monitoring activities) arising from, under or in connection with (a) any violation of or liability under any Environmental Laws, (b) any remedial or corrective action obligation under or relating to any Environmental Laws or (c) any liability or Claim relating to the release of, presence of or exposure to, any Hazardous Substance.

  • There are no investigations of the Business or the Contributed Magnetation Assets pending or, to the knowledge of Magnetation, threatened which could lead to the imposition on the Company of any Environmental Costs or Liabilities or liens under any applicable Law.

Environmental Costs or Liabilities means, with respect to any Person, all losses (including special, consequential, punitive, treble or exemplary damages, diminution in value and/or lost profits or revenues) and all reasonable fees and expenses of counsel, experts and consultants and costs of investigation and feasibility studies, incurred as a result of any claim or demand by any other Person or in response to any violation of Environmental Law, whether known or unknown, accrued or contingent, whether based in contract, tort, implied or express warranty, strict liability, criminal or civil statute or otherwise, which relates to any environmental, health or safety condition, violation of Environmental Law or a Release or threatened Release of Hazardous Materials from the operations of the Company or at or under any Real Property owned or operated by the Company.
Environmental Costs or Liabilities means, with respect to any person, all losses (including punitive damages and consequential damages) and all reasonable fees, disbursements and expenses of counsel, experts and consultants and costs of investigation and feasibility studies), incurred as a result of any claim or demand by any other person or in response to any violation of Law, whether known or unknown, accrued or contingent, whether based in contract, tort, implied or express warranty, strict liability, criminal or civil statute or otherwise, to the extent based upon, related to, or arising under or pursuant to any Law, permit, order or agreement with any governmental body or other person, which relates to any environmental, health or safety condition, violation of Law or a release or threatened release of Hazardous Materials.
