Disclosed Agreements definition

Disclosed Agreements refers to (i) the Stockholders Agreement, dated as of June 9, 2002 (the “Stockholders Agreement”), among the Company, certain Affiliates of the undersigned, entities affiliated with Xxxx Capital, entities affiliated with TA Associates, Inc. and entities associated with Silver Lake Partners, L.P., and with respect to certain sections thereof, Xxxxxx Xxxxxx, (ii) Registration Rights Agreement, dated as of September 20, 2002, among the parties to the Stockholders Agreement and the other parties named therein, and (iii) the Amended and Restated Corporate Agreement, dated as of June 9, 2002, between Reuters Limited and the Company.
Disclosed Agreements. As defined in Section 6.1(j) hereof.

  • MLSE would be responsible for the construction of the Stadium on time and on budget, generally in accordance with the terms and conditions set out in Schedule A and in compliance with those various collective agreements with the unions and associations set out in Schedule B (the "Collective Agreements") and the Disclosed Agreements.

  • On the Closing Date or as soon as practicable thereafter, Teva and OGX shall enter into the Transfer Agreements that are also set forth on Schedule 4(A) in order to Transfer certain of the ENSPIRIT Disclosed Agreements to OGX.

  • Commission Documents means, as of a particular date, all reports, schedules, forms, statements and other documents filed by the Company with the Commission pursuant to the reporting requirements of the Exchange Act, including material filed pursuant to Section 13(a) or 15(d) of the Exchange Act, and shall include all information contained in such filings and all filings incorporated by reference therein.

  • Governmental Filings means all filings, including franchise and similar tax filings, and the payment of all fees, assessments, interests and penalties associated with such filings with all Governmental Authorities.

  • Company Material Contracts has the meaning set forth in Section 3.18(a).

  • Assigned Agreements means all agreements and contracts to which such Grantor is a party as of the date hereof, or to which such Grantor becomes a party after the date hereof, including, without limitation, each Material Contract, as each such agreement may be amended, supplemented or otherwise modified from time to time.

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Material Documents has the meaning set forth in Section 5.23.

  • Disclosure Document shall have the meaning set forth in Section 9.2 hereof.

  • Material Agreement means any material contract, commitment, agreement (written or oral), instrument, lease or other document, license agreement and agreements relating to intellectual property, to which the Corporation or any Subsidiary are a party or to which any of their property or assets are otherwise bound;

  • Disclosure Memorandum means the set of numbered schedules referencing Sections of this Agreement delivered by Seller and dated of even date herewith, as supplemented by new or amended schedules delivered by Seller prior to the Closing.

  • Related Party Agreements shall have the meaning set forth in Section 3.19 herein.

  • Disclosure Letters means the Seller Disclosure Letter and the Buyer Disclosure Letter.

  • L/C Documents means, with respect to any Letter of Credit, such Letter of Credit, any amendments thereto, any documents delivered in connection therewith, any application therefor, and any agreements, instruments, guarantees or other documents (whether general in application or applicable only to such Letter of Credit) governing or providing for (i) the rights and obligations of the parties concerned or at risk or (ii) any collateral security for such obligations.

  • Exchange Act Documents means all forms, proxy statements, registration statements, reports, schedules, and other documents, including all certifications and statements required by the Exchange Act or Section 906 of the Xxxxxxxx-Xxxxx Act with respect to any report that is an Exchange Act Document, filed, or required to be filed, by a Party or any of its Subsidiaries with any Regulatory Authority pursuant to the Securities Laws.
