Disbursement Certificate definition

Disbursement Certificate means an Officers' Certificate of the Company setting forth the individual items of Allowed Expenses to be paid by the Company from funds in the Operating Account, agreeing that such items will be promptly paid with such funds and certifying that such withdrawal of funds and the payment of such Allowed Expenses conforms to the requirements of this Indenture.
Disbursement Certificate means a document properly completed and executed by the Settlor and the Project Manager substantially in the form of Exhibit A hereto.
Disbursement Certificate has the meaning given to such term in Section 4.2(a).

  • Subject to Sections 2.4.1 and 2.4.2, each Lender shall, on or before 12:00 p.m. New York time on each Disbursement Date, make available to Administrative Agent in immediately available funds, such Lender’s Proportionate Share of the aggregate Advances requested in the corresponding Borrower Disbursement Certificate (such Lender’s “Required Payment”).

  • Any Credit Document or Equipment Supplier Disbursement Certificate shall cease, for any reason, to be in full force and effect or any Credit Party or any Affiliate of any Credit Party shall so assert.

  • Notwithstanding the other provisions of this Section 12.4, Borrower and Administrative Agent and/or Hermes Agent may (but shall have no obligation to) amend or supplement the Credit Documents or an Equipment Supplier Disbursement Certificate without the consent of any Lender for the purpose of (a) curing any ambiguity, defect or inconsistency and (b) making any change that would provide any additional rights or benefits to the Lenders.

  • Following such calculations, BRI shall promptly notify the Escrow Agent by delivery of a certificate (the "Disbursement Certificate") of the amounts, if any, to be distributed to each Beneficiary together with the full name and address of the Beneficiary.
