Seller Certificate definition

Seller Certificate means a certificate of transfer delivered in connection with the transfer of a Trust Certificate pursuant to Section 3.04(a), substantially in the form of Exhibit B.
Seller Certificate means a certificate to the effect that each of the conditions specified in clause (a) of Section 5.1 and clauses (a) through (d) (insofar as clause (d) relates to Legal Proceedings involving the Seller or a Subsidiary) of Section 5.2 is satisfied in all respects.
Seller Certificate shall have the meaning ascribed to such term in Section 6.2(c).

Seller Certificate means, if the Seller elects to evidence its interest in the Seller Interest in certificated form pursuant to Section 6.01, a certificate executed and delivered by the Seller and authenticated by the Trustee substantially in the form of Exhibit A; provided, that at any time there shall be only one Seller Certificate; provided further, that in any Supplement, “Seller Certificate” shall mean either a certificate executed and delivered by the Seller and authenticated by the Trustee substantially in the form of Exhibit A or the uncertificated interest in the Seller Interest.
