DIP Loan Facility definition

DIP Loan Facility means the debtor-in-possession financing facility provided for under the DIP Loan Agreement.
DIP Loan Facility shall have the meaning ascribed thereto in the Plan, as it may be amended, restated, supplemented and otherwise modified from time to time in accordance with the terms thereof and, if such amendment, restatement, supplement or other modification would be materially adverse to any of the Debtors, with the consent of the Investors and the Excluded Parties, such consent not to be unreasonably withheld or delayed.
DIP Loan Facility means that certain post-petition debtor in possession credit agreement, as amended from time to time, provided to the Debtors pursuant to the terms of that certain Stipulation and Final Order (I) Authorizing (A) Secured Post-Petition Financing on a Super Priority Basis Pursuant to 11 U.S.C. § 364 entered by the Bankruptcy Court in the Bankruptcy Case on May 28, 2004.

Examples of DIP Loan Facility in a sentence

  • If any Classes entitled to vote on this Plan do not vote to accept this Plan, the Debtor may (i) seek confirmation of this Plan under section 1129(b) of the Bankruptcy Code with respect to such Classes, or (ii) amend or modify this Plan in accordance with the terms hereof, the Restructuring Support Agreement, the Intercompany DIP Loan Facility Agreement, and the Bankruptcy Code.
