Designated Actions definition

Designated Actions means (i) the voting of any Common Shares and any action to be taken with respect to a matter properly brought before the stockholders of the Company holding Common Shares, including without limitation the election of members of the Board of Directors of the Company, (ii) any action to be taken by any Holder in its capacity as a stockholder of the Company under any of the Transaction Agreements, including without limitation any consent or waiver relating to any such Transaction Agreement and (iii) all actions taken in connection with any of the actions referred to in clauses (i) and (ii) above.
Designated Actions shall have the meaning set forth in Section 3.13(a) of the Company Disclosure Schedule.
Designated Actions shall have the meaning set forth on Schedule A hereto.

  • After the date of this Agreement, there shall not have been commenced or threatened in writing any "Designated Actions" which, when considered collectively, are such that it would not be unreasonable to conclude that there is a material risk that the Company and its Subsidiaries will in the future incur liabilities in connection with such Designated Actions and/or other potential Actions involving allegations of a similar nature that would be material to the Company and its Subsidiaries taken as a whole.

  • Restricted Activity means directly or indirectly owning any interest in, managing, controlling, participating in, consulting with, rendering services for, or in any manner engaging in any business with any customer, supplier, competitor or other person having a business relation with the Company or any of its subsidiaries; provided however that the term "Restricted Activity" shall not include passive ownership of not more than 2% of the outstanding stock of any class of a corporation which is publicly traded, so long as Executive has no active participation in the business of that corporation.

  • Covered Active Duty means (1) in the case of a member of a regular component of the Armed Forces, duty during the deployment of the member with the Armed Forces to a foreign country; and (2) in the case of a member of a reserve component of the Armed Forces, duty during the deployment of the member with the Armed Forces to a foreign country under a call or order to active duty (or notification of an impending call or order to active duty) in support of a contingency operation as defined by applicable law.

  • Derivative Action means any Action brought by or in the right of the Corporation and/or an Affiliate.

  • Section 510(b) Claim means any Claim arising from: (a) rescission of a purchase or sale of a security of the Debtors or an Affiliate of the Debtors; (b) purchase or sale of such a security; or (c) reimbursement or contribution allowed under section 502 of the Bankruptcy Code on account of such a Claim.

  • Section 510(b) Claims means any Claim against any Debtor: (a) arising from the rescission of a purchase or sale of a Security of any Debtor or an affiliate of any Debtor; (b) for damages arising from the purchase or sale of such a Security; or (c) for reimbursement or contribution Allowed under section 502 of the Bankruptcy Code on account of such a Claim; provided that a Section 510(b) Claim shall not include any Claims subject to subordination under section 510(b) of the Bankruptcy Code arising from or related to an Interest.

  • Approved program or approved State means a State administered NPDES program which has been approved or authorized by EPA under 40 CFR Part 123.
