Current Director definition
Current Director means any member of the Board elected at or continuing in office after the 2004 annual and special meeting of shareholders of the Corporation, any successor of a Current Director who has been approved by a majority of the Current Directors then on the Board, and any other person who has been approved by a majority of the Current Directors then on the Board);

Examples of Current Director in a sentence
On the date hereof, each Current Director shall continue in the same class of directors (i.e., Class I, Class II or Class III) as such Current Director was elected into prior to the effectiveness of this Agreement.
Each Current Director shall hold office until his successor is elected or appointed and qualified, or until his or her earlier death, resignation or removal in accordance with this Article 6.
If Indemnitee is not a Current Director or Officer and no Triggering Change in Control has occurred, then the Reviewing Party will be the Company's chief executive officer or chief financial officer, acting on behalf of the Company, unless the Indemnitee expressly demands in writing at the time that he or she makes a demand for indemnification of a Loss that Independent Legal Counsel be the Reviewing Party, in which event Independent Legal Counsel shall be the Reviewing Party.
The Current Board shall have all of the powers and authorities accorded to the Board of Directors, and each Current Director shall have all of the powers and authorities accorded the directors of the Company under the terms of this Agreement.
Nothing in this Agreement shall be construed as preventing or limiting any currently serving director of the Company (“Current Director”) who is an individual employee, principal or partner of Stockholder (or its affiliate) from (i) taking any actions in the Current Director’s capacity as a director of the Company or (ii) fulfilling the duties or obligations of the Current Director acting in his capacity as a director of the Company.

Current Director means any member of the Board of Directors elected at or continuing in office after, the 1998 Annual Meeting of Shareholders, any successor of a Current Director who has been approved by a majority of the Current Directors then on the Board, and any other person who has been approved by a majority of the Current Directors then on the Board); or (iii) on the date of approval of (x) the merger or consolidation of the Company with another corporation where the shareholders of the Company, immediately prior to the merger or consolidation, would not beneficially own, immediately after the merger or consolidation, shares entitling such shareholders to 50% or more of all votes (without consideration of the rights of any class of stock to elect directors by a separate class vote) to which all shareholders of the corporation would be entitled in the election of directors or where the members of the Board of Directors of the Company, immediately prior to the merger or consolidation, would not immediately after the merger or consolidation, constitute a majority of the Board of Directors of the corporation issuing cash or securities in the merger or consolidation or (y) on the date of approval of the sale or other disposition of all or substantially all the assets of the Company."

The parties agree that in the event that the Company shall fail to pay or otherwise perform its obligations in favour of the Executive pursuant to this section 17 and such obligations are successfully enforced by the Executive following the institution of legal proceedings, the Company shall reimburse to the Executive all of his costs and expenses (including legal fees and disbursements) which have been incurred by the Executive in order to enforce such obligations.
