To the extent the terms of this Agreement or the Non-Employee Director Stock Option Acceptance Agreement are inconsistent with the Plan, the provisions of the Plan shall control and supersede any inconsistent provision of this Agreement or the Non-Employee Director Stock Option Acceptance Agreement.
