All determinations and interpretations made by the Committee shall be final, binding and conclusive on all parties, including the Company, its stockholders, the Director, and the Director’s beneficiaries and estate.
Subject to the provisions set forth herein and the terms and conditions of the Plan, and in consideration of the agreements of the Director herein provided, the Company hereby grants to the Director the number of Shares set forth above.
