Credit Suisse Exit Facility Agent definition

Credit Suisse Exit Facility Agent means Credit Suisse, or such other party as identified in the Credit Suisse Exit Facility Agreement as acting in the capacity as administrative agent under the Credit Suisse Exit Facility.

  • Credit Facility Agent means that certain agent, in its capacity as arranger and administrative agent under the Credit Agreement or any replacement or successor agent under the Credit Agreement.

  • Exit Facility Agent means the agent under the Exit Facility.

  • Credit Suisse means Credit Suisse AG, Cayman Islands Branch.

  • Syndication Agent as defined in the preamble hereto.

  • Syndication Agents as defined in the preamble hereto.

  • GE Capital Fee Letter means that certain letter, dated as of the Closing Date, between GE Capital and Borrower with respect to certain Fees to be paid from time to time by Borrower to GE Capital.

  • Co-Syndication Agent means each of Bank of America, N.A. and Xxxxx Fargo Bank, National Association in its capacity as co-syndication agent for the credit facility evidenced by this Agreement.

  • Facility Agent has the meaning set forth in the Preamble.

  • Co-Syndication Agents as defined in the preamble hereto.

  • Co-Lead Arrangers means X.X. Xxxxxx Securities Inc. and RBSGC.

  • Wachovia means Wachovia Bank, National Association, a national banking association, and its successors.

  • Credit Facility Provider means the issuer of or obligor under a Credit Facility.

  • MLPFS means Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated.

  • Bank of America Fee Letter means the letter agreement, dated as of September 28, 2018 between the Borrower and Bank of America.

  • Joint Lead Arrangers and Bookrunners means Credit Suisse Securities (USA) LLC, Citigroup Global Markets, Inc., Deutsche Bank Securities Inc., Xxxxxxx Xxxxx Credit Partners L.P., HSBC Securities (USA) Inc., Xxxxxx Brothers Inc. and Xxxxxxx Lynch, Pierce, Xxxxxx & Xxxxx Incorporated.

  • Lead Arranger as defined in the preamble hereto.

  • Syndication Date means the earlier of (i) the date which is 60 days after the Closing Date and (ii) the date on which the Administrative Agent determines in its sole discretion (and notifies the Borrower) that the primary syndication (and the resulting addition of Lenders pursuant to Section 10.07(b)) has been completed.

  • JPMorgan means JPMorgan Chase Bank, N.A.

  • L/C Issuer means Bank of America in its capacity as issuer of Letters of Credit hereunder, or any successor issuer of Letters of Credit hereunder.

  • Fiscal Agent Agreement As defined in Section 8.13.

  • Credit Agreement Agent means, at any time, the Person serving at such time as the “Agent” or “Administrative Agent” under the Credit Agreement or any other representative then most recently designated in accordance with the applicable provisions of the Credit Agreement, together with its successors in such capacity.

  • Auction Agent Agreement means the Initial Auction Agent Agreement unless and until a Substitute Auction Agent Agreement is entered into, after which "Auction Agent Agreement" shall mean such Substitute Auction Agent Agreement.

  • Investment Bank means each of those reputable internationally recognised investment banks, selected from time to time as First Choice Investment Banks or as a Third Investment Bank in terms of Section 1.4 or Section 1.5 of the Subscription Agreement (as the case may be), whose Mandate Letters remain effective.

  • Goldman Sachs means Goldman Sachs & Co. LLC.

  • Exit Facility Credit Agreement means the credit agreement, Filed with the Plan Supplement, which credit agreement shall contain terms and conditions consistent in all respects with those set forth on the Exit Facility Term Sheet and, to the extent any terms and conditions are not set forth on or contemplated therein, such other terms and conditions as are acceptable to the Special Restructuring Committee and the Majority Noteholders in the manner set forth in the Restructuring Support Agreement.

  • Agent Bank means, in relation to a Series of Securities, the entity (if any) appointed as such under the Agency Agreement and as specified in the Issue Terms.
