Contribution Documents definition

Contribution Documents means, collectively, the Contribution Agreement and all agreements, conveyance documents, instruments, assignments, and certificates delivered pursuant to the Contribution Agreement.
Contribution Documents means in general those documents relating to the funding by Gevo, Inc. and Gevo Development LLC of equity monies relating to the consideration to paid in connection with the Agri-Energy Acquisitions.
Contribution Documents means this Agreement, the Interest Conveyance, and each of the other documents and instruments to be delivered hereunder.

  • This Agreement constitutes, and as of the Closing such other Contribution Documents will constitute, the legal, valid, and binding obligations of Transferor enforceable against Transferor in accordance with its terms, except as the same may be limited by bankruptcy, insolvency, reorganization, fraudulent conveyance, arrangement, moratorium, or other similar Laws relating to or affecting the rights of creditors generally, or by general equitable principles.

Contribution Documents collectively, (i) Assignment and Assumption Agreement, dated as of August 24, 2000, between the Borrower and the Parent, and (ii) each other agreement, instrument or other document executed or delivered in connection the Contributions, including all approvals and consents obtained and all legal opinions delivered.
