The execution and delivery by each Seller of this Agreement, the Ancillary Documents and the Reorganization Documents to which such Seller is or will be a party, the performance by each Seller of its/his/her obligations hereunder and thereunder, and the consummation by each Seller of the transactions contemplated hereby and thereby have been duly authorized by all requisite corporate or other action that is or may be required on the part of such Seller.
Each Seller has full power and authority (corporate or individually) to enter into this Agreement, the Ancillary Documents and the Reorganization Documents to which such Seller is or will be a party, to carry out its/his/her obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby.
All corporate actions taken by any of the Sellers in connection with this Agreement, the Ancillary Documents and the Reorganization Documents will be duly authorized on or prior to the Closing.
