Reorganization Documents definition

Reorganization Documents means each of the documents attached as an exhibit hereto and all other agreements and documents entered into in connection with the Reorganization Transactions.
Reorganization Documents means the Reorganization Agreement, this Agreement, the Holdco LLC Agreement, the Tax Receivable Agreement, the Exchange Agreement, the Registration Rights Agreement, the Employee Equity Letters, the MIP and the Equity Purchase Agreements.
Reorganization Documents shall have the meaning set forth in Section 3.1.

  • The execution and delivery by each Seller of this Agreement, the Ancillary Documents and the Reorganization Documents to which such Seller is or will be a party, the performance by each Seller of its/his/her obligations hereunder and thereunder, and the consummation by each Seller of the transactions contemplated hereby and thereby have been duly authorized by all requisite corporate or other action that is or may be required on the part of such Seller.
