Consent Parties definition

Consent Parties means, (i) so long as all Notes are held by no more than two Investor Groups the Managing Agent of each Investor Group and (ii) if the Notes are held by more than two Investor Groups, the Managing Agents representing the Investor Groups owning in the aggregate not less than 66 2/3rds of the Aggregate Principal Amount of the Notes.

Consent Parties means (i) with respect to CGC, CES, (ii) with respect to a Facility Owner, CGC and CES, and (iii) with respect to CES, CGC and the Facility Owner of the affected Facility.

Consent Parties means (a) if prior to the Effective Date, the Chatham Parties and the Committee; provided, however, that the Chatham Parties’ consent rights shall only apply in the event that any proposed action or document has a material impact on the Chatham Parties; and (b) if on or after the Effective Date, the GUC Recovery Trust. For the avoidance of doubt, the consent of both the Chatham Parties and the Committee shall be required in connection with the preparation of any documents contemplated by Article 6.12(e) of the Plan.

Examples of Consent Parties in a sentence

• A Trigger Event described in clause (iii) or (iv) above shall continue until the earlier of (x) the date such Trigger Event is waived in writing by the Consent Parties in their sole discretion or (y) the date on which the Consolidated Leverage Ratio for the applicable Rolling Period is equal to or less than 3.5 to 1.0 and the Consolidated Interest Coverage Ratio for the applicable Rolling Period is equal to or greater than 3.0 to 1.00.

• A Trigger Event described in clause (v) above will continue until the earlier of (x) the date such Trigger Event is waived in writing by the Consent Parties in their sole discretion or (y) until the Aggregate Default Rate on four consecutive Determination Dates is equal to or less than the Applicable Default Rate for the respective dates.

• A Trigger Event described in clause (i) above shall continue until the earlier of (x) the date such Trigger Event is waived in writing by the Consent Parties in their sole discretion or (y) the average of the Delinquency Ratios for the three immediately preceding Due Periods is equal to or less than 5.00% for three consecutive Determination Dates.

• A Trigger Event described in clause (vi) above will continue until the date such Trigger Event is waived in writing by the Consent Parties in their sole discretion.

• At any time after such an acceleration or declaration of acceleration of the Notes has been made and before a judgment or decree for payment of the money due has been obtained by the Trustee as provided in this Indenture, such acceleration may be rescinded by the Consent Parties by written notice to the Issuer, the Trustee and the Swap Counterparty.
