Company Technical Reports has the meaning ascribed thereto in Section 3.1(z)(ii);
Company Technical Reports means, collectively, (a) the technical report prepared for the Company by Xxxx X. Xxxxx & Associates Limited, entitled “Review of Resources and Reserves of Xxxxxxx Xxxx, Xxxxxxxx Xxxx, Ontario” dated May 22, 2015, (b) the technical report prepared for the Company Subsidiary by Xxxxxxx Xxxxx and Xxxxxx Xxxxxx, entitled “Xxxx-Xxxxxxxx Property, Ontario, Canada” dated March 27, 2015, (c) the technical report prepared for the Company by Xxxxxx Xxxxxx Associates Inc., entitled “Technical Report on the Clavos Project in the Xxxxxxx Xxxx, Xxxxxxxxxxxx Xxxxxxx, Xxxxxx” dated Xxxxxxxx 00, 0000, (x) the technical report prepared for the Company by Xxxxx Xxxxxx and X. Xxxx, entitled “Xxxxxx Property, Ontario, Canada” dated March 29, 2012, and (e) the technical report prepared for the Company Subsidiary by Xxxxx Xxxxxx Mining, entitled “Technical Report on the Xxxxxx Project, Ontario, Canada” dated August 6, 2009;
Company Technical Reports means, collectively, (i) the technical report of the Company entitled "Preliminary Economic Assessment of the Tower Project and Rail Project" with an effective date of February 1, 2022, (ii) the technical report of the Company entitled "Technical Report, Bur Zone Project, Manitoba, Canada" with an effective date of October 26, 2021, and (iii) the technical report of the Company entitled "Technical Report and Updated Mineral Resource Estimate of the Talbot Copper (Zinc-Gold-Silver) Project, Manitoba, Canada" with an effective date of February 27, 2020;

Examples of Company Technical Reports in a sentence

  • The estimates of mineral resources and mineral reserves for mineral properties for the Company or its Subsidiaries, as set forth in the Company Technical Reports were prepared in all material respects in accordance with sound mining, engineering, geoscience and other applicable industry standards and practices, and disclosed in all material respects, in accordance with applicable Laws, including the requirements of NI 43-101.

  • The Company does not have knowledge of any change to the facts and assumptions underlying the estimates in the Company Technical Reports that would reasonably be expected to result a material adverse change in any production, cost, price, reserves, resources or other relevant information in the Company Technical Report since the date of such reports.

  • The Company made available to the authors of each of the Company Technical Reports, prior to issuance thereof, for the purpose of preparing such reports, all information requested by them and none of such information contained any Misrepresentation as of the time such information was provided.

  • There has been no material reduction in the aggregate amount of estimated mineral reserves, estimated mineral resources or mineralized material with respect to such properties, from the amounts most recently set forth in the Company Technical Reports, with the exception of depletion in the ordinary course.

Related to Company Technical Reports

  • Technical Report means a report prepared and filed in accordance with this Instrument and Form 43-101F1 Technical Report that includes, in summary form, all material scientific and technical information in respect of the subject property as of the effective date of the technical report; and

  • Geotechnical report means a scientific study or evaluation conducted by a qualified expert that includes a description of the ground and surface hydrology and geology, the affected land form and its susceptibility to mass wasting, erosion, and other geologic hazards or processes, conclusions and recommendations regarding the effect of the proposed development on geologic conditions, the adequacy of the site to be developed, the impacts of the proposed development, alternative approaches to the proposed development, and measures to mitigate potential site-specific and cumulative geological and hydrological impacts of the proposed development, including the potential adverse impacts to adjacent and down-current properties. Geotechnical reports shall conform to accepted technical standards and must be prepared by qualified professional engineers or geologists who have professional expertise about the regional and local shoreline geology and processes.

  • Research record means any data, document, computer file, computer diskette, or any other written or non-written account or object that reasonably may be expected to provide evidence or information regarding the proposed, conducted, or reported research that constitutes the subject of an allegation of research misconduct. A research record includes, but is not limited to, grant or contract applications, whether funded or unfunded; grant or contract progress and other reports; laboratory notebooks; notes; correspondence; videos; photographs; X-ray film; slides; biological materials; computer files and printouts; manuscripts and publications; equipment use logs; laboratory procurement records; animal facility records; human and animal subject protocols; consent forms; medical charts; and patient research files.

  • IP Materials has the meaning given to it in clause E8.1 (Intellectual Property Rights).

  • Background Material means any pre-existing works in which the Intellectual Property Rights are owned by either Party, which have been prepared by that Party outside the scope of this Agreement or which were licensed from a third party by that Party.”

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Software Update means a package used to upgrade software to a new version including a change of the configuration parameters.

  • Client Application means an application developed by Licensee that a) utilizes the Runtime Product, b) is installed fully on an end user’s machine, with all report processing local to that machine, and c) adds significant and primary functionality to the Runtime Product.

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services and which is specified as such in Schedule 6 (Third Party Software) to this Contract.

  • Controlled technical information means technical information with military or space application that is subject to controls on the access, use, reproduction, modification, performance, display, release, disclosure, or dissemination. Controlled technical information would meet the criteria, if disseminated, for distribution statements B through F using the criteria set forth in DoD Instruction 5230.24, Distribution Statements on Technical Documents. The term does not include information that is lawfully publicly available without restrictions.

  • SOS Reports means the official reports from the Secretaries of State of each Collateral State, Chief Executive Office State and the Borrower State and other applicable federal, state or local government offices identifying all current security interests filed in the Collateral and Liens of record as of the date of such report.

  • Technical Information means technical data or computer software, as those terms are defined in the clause at DFARS 252.227-7013, Rights in Technical Data-Non Commercial Items, regardless of whether or not the clause is incorporated in this solicitation or contract. Examples of technical information include research and engineering data, engineering drawings, and associated lists, specifications, standards, process sheets, manuals, technical reports, technical orders, catalog-item identifications, data sets, studies and analyses and related information, and computer software executable code and source code.

  • Program Materials means the documents and information provided by the Program Administrator specifying the qualifying EEMs, technology requirements, costs and other Program requirements, which include, without limitation, program guidelines and requirements, application forms and approval letters.

  • Contractor Materials means Materials owned or developed prior to the provision of the Work, or developed by Contractor independently from the provision of the Work and without use of the Court Materials or Confidential Information.

  • Engineering Reports has the meaning assigned such term in Section 2.07(c)(i).

  • Regulatory Materials means materials developed or compiled in preparation for Regulatory Authority meetings, regulatory applications, submissions, dossiers, notifications, registrations, Regulatory Approvals and/or other filings made to or with, or other approvals granted by, a Regulatory Authority that are necessary or reasonably desirable for the Development, manufacture, market, sale, or Commercialization of a Licensed Product in a particular regulatory jurisdiction.

  • Training Materials means any and all materials, documentation, notebooks, forms, diagrams, manuals and other written materials and tangible objects, describing how to maintain the Facilities, including any corrections, improvements and enhancements thereto to the Bloom Systems which are delivered by Operator to Owner, but excluding any data and reports delivered to Owner.

  • Progress Reports The Progress Reports as required by the individual Task Work Orders issued pursuant to this Agreement. Responsible: Responsible or Responsibility means the financial ability, legal capacity, integrity and past performance of Contractor and as such terms have been interpreted relative to public procurements. See NYS Finance Law § 163(1)(c).

  • Systems Engineering means preparing specifications, identifying and resolving interface problems, developing test requirements, evaluating test data, and supervising design.

  • Technical Requirements means the Technical Requirements in Section VII of the tendering documents.
