Company Net Worth definition

Company Net Worth means the net worth of the Company as of the Applicable Month End, calculated based on the Company’s unaudited consolidated balance sheet as of the Applicable Month End and in accordance with Schedule 1.1(CNW) of the Company Disclosure Letter.
Company Net Worth at a particular date, shall mean all amounts which ----------------- would be included under shareholders' equity on a consolidated balance sheet of the Company and its Subsidiaries determined on a consolidated basis in accordance with GAAP as at such date.
