Not less than two Business Days prior to the Closing Date, the Partnership shall deliver to Purchaser a statement (the “Estimated Closing Statement”) setting forth in reasonable detail (a) a good faith calculation of the Partnership’s estimate of Cash (“Estimated Cash”), Indebtedness (“Estimated Indebtedness”), Net Working Capital (“Estimated Net Working Capital”) and Transaction Expenses (“Estimated Transaction Expenses”) and (b) the Closing Purchase Price.
The Dispute Resolution Firm’s determination shall be based solely on the definitions of Cash, Indebtedness, Net Working Capital and Transaction Expenses contained herein, other applicable definitions and provisions set forth in this Agreement and the Accounting Principles.
Cash, Indebtedness, Net Working Capital and Transaction Expenses shall be determined in accordance with the Accounting Principles and in a manner consistent with the applicable definitions contained in this Agreement.
Within 90 days after the Closing Date, Purchaser shall deliver to the Equity Holder Representative a statement (the “Closing Statement”) setting forth in reasonable detail (a) Purchaser’s good faith calculation of Cash, Indebtedness, Net Working Capital, and Transaction Expenses and (b) the Closing Purchase Price as determined (solely for purposes of the Closing Statement) based upon the amounts set forth in the preceding clause (a) in lieu of clauses (b), (c), (d), (e) and (f) of the definition thereof.
Except as set forth in Section 3.05(e) of the Seller Disclosure Schedule, all of the accounts receivable included in the calculation of Closing Net Working Capital are collectible within sixty (60) days of the date of the original invoice related thereto.
