City Parties definition

City Parties means the City, its City Council, boards and commissions, departments, officers, agents, employees, volunteers and other representatives.
City Parties has the meaning set forth in Section 4.7.
City Parties means, collectively, (a) the Issuer and the Economic Development Commission, and their successors and assigns, (b) any financial advisor or legal counsel to any entity listed in subclause (a) hereof, (c) the underwriter for the Bonds, (d) the owners of the Bonds (beneficial or otherwise), and (e) the Trustee.

  • An indemnification item was added that would have the City Parties agree to indemnify the Developer, its successors, and assigns.By consensus, the council agrees with the significant changes outlined in the development agreement with final approval to be considered at the December 8th council meeting.

  • The Developer and City Parties mutually agree that the Phase II Infrastructure Project and issuance of the Phase II Bonds shall only occur upon the request being made by the Developer and that the Developer is not obligated pursuant to this Agreement to commence the Phase II Infrastructure Project unless such request is submitted to the City and the Phase II Bonds are issued.

More Definitions of City Parties

City Parties means (a) (i) the City of Westfield, Indiana, the City of Westfield Economic Development Commission, and the Westfield Redevelopment Commission, and (ii) the municipal adviser or advisers to any City Party; (b) their respective legal counsel; and (c) their successors and assigns.
City Parties shall have the meaning set forth in Section 4.6.1. “Community Benefits” shall have the meaning set forth in Section 2.1.
City Parties shall have the meaning set forth in Section 11(a) hereof.
City Parties are defined in Section 10.9.

City Parties means the City and its Council Members, officers, employees, contract employees retained for City operations services, agents, representatives, counsel, consultants and managers.
City Parties means CITY, and any successor in interest to CITY of any portion of the PROPERTY or any interest therein, and the successors, assigns, legal representatives, devisees, officers, directors, shareholders, partners, employees, contractors, tenants, and agents of each of them.
