Examples of City Maintenance Obligations in a sentence
The City will, within thirty (30) days after being invoiced for the same, reimburse Hardball for the actual, direct, out-of-pocket costs of all maintenance, repairs and replacements for which it is responsible as set forth as set forth on Exhibit IV(C) ("City Maintenance Obligations"), provided that upon reasonable notice to Hardball the City may instead elect to self-perform at its expense any of the City Maintenance Obligations.
Under the direction of the Board of Advisors, such City Maintenance Fund shall be used for the City Maintenance Obligations as determined on a reasonable basis by the City and Licensee, or other capital improvements.
The City Maintenance and ImprovementCapital Fund shall be used for the City Maintenance Obligations as set forth on Exhibit IV(C)(ii) or other capital improvements approved by the City, but at no time shall these funds be used for payment of debt service on bonds or other obligations issued by or on behalf of the City.
Whether the City or a third-party manager appointed by the City, the City shall, with respect to all Hardball Maintenance Obligations (including the right of Hardball to approve any budget, as such approval shall not be unreasonably withheld, conditioned or delayed), provide Hardball with an annual maintenance budget and future reporting procedure similar to that to be followed by Manager with respect to City Maintenance Obligations.
The City Maintenance and Improvement Fund shall be used for the City Maintenance Obligations as set forth on Exhibit IV(C)(ii) or other capital improvements approved by the City, but at no time shall these funds be used for payment of debt service on bonds or other obligations issued by or on behalf of the City.
The City shall at its expense be responsible for the cost of all City Maintenance Obligations set forth on Exhibit IV(C)(ii) to the Stadium License Agreement.
If the City does not appropriate funds for this Agreement, or if there are no other lawfully available funds for this Agreement, Partner may, following receipt of the Appropriation Notice, terminate this Agreement or agree in writing to continue to fulfill its obligations under the Agreement with no future financial contribution from the City and Partner shall be entitled to perform the City Maintenance Obligations.

The Board of Advisors shall review and not unreasonably withhold its approval of an annual maintenance budget covering City Maintenance Obligations (the "Maintenance Budget") to be recommended by Hardball in consultation with the Board of Advisors each year in accordance with the timing and procedures to be mutually agreed in good faith between Hardball and the City.
If City shall fail in the performance of the City Maintenance Obligations and such failure shall continue without City curing or commencing to cure such failure within all applicable grace and/or notice and cure periods, Partner after ten days’ additional written notice to City specifying such failure may (but without any obligation to do so), as its sole remedy and at its sole costs and expense, perform the same.
