Change of Control Agreements definition

Change of Control Agreements means the Contracts designated as such on Schedule 3.8(b) and any other similar Contracts entered into by the Company prior to Closing requiring, or triggering a potential, payment to be made as a result of the consummation of the Share Purchase or any of the other transactions contemplated by this Agreement.

Change of Control Agreements means those certain Change of Control Agreements listed on Schedule 1.1(A).

Change of Control Agreements shall have the meaning set forth in Section 6.13(c).

Examples of Change of Control Agreements in a sentence

• If after the Closing the Banner Companies incur any liability under any of the Change of Control Agreements (excluding for the avoidance of doubt, any stay bonuses owing pursuant to the Change of Control Agreements), Buyer and Seller will share such liability in the manner specified in Section 7.21 of the Disclosure Letter.

More Definitions of Change of Control Agreements

Change of Control Agreements means the executive change of control payment agreements among TORC and each executive officer of TORC;

Change of Control Agreements means any of the twenty-one agreements between employees of the Banner Companies and a Banner Company, identified as items 60–77 and 96–98 of subsection 4.20(e) of Section 4.20 of the Disclosure Letter, each as amended by an applicable Change of Control Agreement Amendment.

Change of Control Agreements means those Change of Control Agreements of Company identified on Schedule A attached hereto and any and all other employment or severance agreements of Company that provide severance or termination benefits to any Employee subsequent to a change of control of Company.

Change of Control Agreements has the meaning specified in Section 4.14(f) hereof.

Change of Control Agreements means, collectively, (a) the Tier 1 and Tier 2 change of control agreements entered into between Coachmen and the employees of Coachmen party thereto; (b) Coachmen’s Supplemental Deferred Compensation Plan, as amended and restated on January 1, 2003; (c) Coachmen’s Executive Annual Performance Incentive Plan, as amended on May 3, 2001; (d) Coachmen’s Long Term Incentive Performance Based Restricted Stock Plan; and (e) all other agreements or plans creating any benefit or entitlement in favor of any current or former employee of any of the Borrowers upon a change of control (or similar event) of any of the Borrowers.

Change of Control Agreements means any and all employment or severance agreements of Hilton which provide severance or termination benefits to any Employee subsequent to a change of control of Hilton.
