Certificate of the Seller. A certificate signed (i) by the Chairman of the Board or the Vice Chairman of the Board or the President or a Vice President and (ii) by the Treasurer or the Secretary or one of the Assistant Treasurers or Assistant Secretaries of the Seller, with the resolution of the Board of Directors of the Seller, the certificate of incorporation of the Seller and the by-laws of the Seller attached thereto, substantially in the form attached hereto as Exhibit 5.
