  • Perry and Shiny Group must have received the Buyer Officer's Certificate.

  • Deliver to Seller the Buyer Officer's Certificate, and the counterparts of the Assignments and the Lease that were executed by Buyer.

  • The representations, warranties and covenants made by the Buyer Officer in this Agreement shall survive for a period expiring on the date that is thirty-six (36) months following the Closing (the "Survival Date") and any action for a breach of the Buyer Officer's representations or warranties, the failure of the Buyer Officer to comply with a covenant hereunder or any Loss under this Section 7.1 must be made and filed by the Survival Date.

  • Executive Officers means the Company's “executive officers” as defined in 12 C.F.R. § 215.2(e)(1) (regardless of whether or not such regulation is applicable to the Company).

  • proper officer (“swyddog priodol”) means an officer of that council within the meaning of section 270(3) of the Local Government Act 1972; and

  • Principal officers for a corporation means the officers designated under Subsection 31A-5-203(3).

  • Company Board of Directors means the board of directors of the Company.

  • Merger Sub Board means the board of directors of Merger Sub.

  • Purchaser Board means the board of directors of the Purchaser.

  • Company Representatives shall have the meaning set forth in Section 6.5(a).

  • Buyer Representatives shall have the meaning set forth in Section 6.4(a).

  • Senior Managers means, with respect to the Company and each member of the Company Group, the chief executive officer, the chief financial officer, the chief technology officer, the president, the general manager or any other manager with the title of “vice-president” or higher, or any other employee with responsibilities similar to any of the foregoing, of such entity.

  • Senior Executive Officers means the Company's "senior executive officers" as defined in subsection 111(b)(3) of the EESA and regulations issued thereunder, including the rules set forth in 31 C.F.R. Part 30.

  • Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;

  • Authorised Officers means an officer of each Partner appointed to be that Partner's representative for the purpose of this Agreement.

  • Appeals Board means the commissioners and deputy commissioners of the Workers’ Compensation Appeals Board acting en banc, in panels, or individually.

  • The Board of Directors or "Board" means all those persons appointed to perform the duties of directors of the society;
