Buyer Pension Plan definition

Buyer Pension Plan means one or more defined benefit plans within the meaning of section 3(35) of ERISA that are (i) maintained or to be established or maintained by Buyer, and (ii) qualified plans under section 401(a) of the Code.
Buyer Pension Plan is defined in Section 6.5(c)(i).
Buyer Pension Plan and "Buyer Pension Plans" are defined in Section 11.2.1(b).

  • Notwithstanding any other provision of this Agreement, the Seller Pension Plan will continue to make all benefit payments to Transferred Employees and Other Plan Participants due under the Seller Pension Plan until both the Initial Transfer Amount and the True-Up Amount have been transferred to the Buyer Pension Plan.
