Base Capital Expenditures definition

Base Capital Expenditures is defined in Section 7.2.7.
Base Capital Expenditures means capital expenditures generally ------------------------- required for the ongoing maintenance and operation of the Plant, including, without limitation, capital expenditures for replacing equipment, cost reductions and quality improvements. Base Capital Expenditures shall not include: (i) expenditures for product changes determined by the requirements of only one Sponsor or any of its Affiliates or emissions-related changes to the extent that both parties do not participate equally in such expenditures; or (ii) any expenditures relating to Supplier Tooling.
Base Capital Expenditures means, for any fiscal quarter, the quarterly average of the Issuer’s capital expenditures (as determined in accordance with GAAP) for the twelve fiscal quarters comprising the three full fiscal years immediately preceding such fiscal quarter, increased by the Capital Expenditures Grower Rate.

More Definitions of Base Capital Expenditures

Base Capital Expenditures means (a) $6,400,000 if the Measurement Date is December 31, 2004 and (b) $5,400,000 if the Measurement Date is November 30, 2004.

  • Net Capital Expenditures means for any period the amount by which Capital Expenditures during such period exceeds reimbursements for such items during such period from any fund established pursuant to the Loan Documents.

  • Maintenance Capital Expenditures means cash expenditures (including expenditures for the addition or improvement to the capital assets owned by any Group Member or for the acquisition of existing, or the construction of new, capital assets) if such expenditures are made to maintain, including over the long term, the operating capacity or revenues of the Partnership Group.

  • Approved Capital Expenditures means Capital Expenditures incurred by Borrower and either (i) included in the Approved Annual Budget or (ii) approved by Lender, which approval shall not be unreasonably withheld or delayed.

  • Consolidated Net Working Capital means (a) all current assets of the Company and its Restricted Subsidiaries except current assets from Oil and Gas Hedging Contracts, less (b) all current liabilities of the Company and its Restricted Subsidiaries, except (i) current liabilities included in Indebtedness, (ii) current liabilities associated with asset retirement obligations relating to oil and gas properties and (iii) any current liabilities from Oil and Gas Hedging Contracts, in each case as set forth in the consolidated financial statements of the Company prepared in accordance with GAAP (excluding any adjustments made pursuant to FASB ASC 815).

  • Expenditures means payments and contracts for goods, services, and construction which may be acquired competitively and are not regulated by separate authority, and, where the department acts as the sole or primary contracting officer and has selective discretion as to the supplier, vendor, or contractor. This definition does not apply to expenditures by the department of transportation for road and bridge construction projects which receive federal funds under section 112(b) of title 23 of the United States Code, 23 U.S.C. 112, 23 C.F.R. 635.104(a), and other applicable federal law until federal law recognizes small businesses owned by persons with disabilities.
