Avista Parties definition

Avista Parties means ACP LE, L.P., a Delaware limited partnership, and ACP LE (Offshore), L.P., a Delaware limited partnership, collectively.
Avista Parties means Avista and Investor LLC.
Avista Parties has the meaning assigned to it in Recital B.

  • The execution and delivery of this Agreement by each of the Avista Parties and the consummation by such Avista Party of the transactions contemplated hereby have been duly authorized by all necessary action on the part of such Avista Party and no further action is required by such Avista Party, its board of directors or other governing body or shareholders, members or partners in connection herewith.

  • Each of the Avista Parties has the requisite power and authority to enter into and to consummate the transactions contemplated by this Agreement and otherwise to carry out its obligations hereunder.

  • Neither of the Avista Parties is in violation of any of the provisions of its respective certificate or articles of incorporation, bylaws or other organizational, charter or equivalent documents.

  • Each of the Avista Parties is an entity duly incorporated or otherwise organized, validly existing and in good standing under the Laws of the jurisdiction of its incorporation or organization (as applicable), with the requisite power and authority to own and use its properties and assets and to carry on its business as currently conducted.

  • Idaho DEQ, IDFG, and Avista (Parties) have developed selection priorities and evaluation criteria for all projects and/or activities that will be implemented through this Plan.

  • The terms and provisions of this Amendment do not affect any transfers, assignments or conveyances by any of the Carrizo Parties on the one hand, and any of the Avista Parties on the other, prior to the Effective Date and pursuant to the Subject Agreements.

  • The Avista Parties have delivered to COGI a certified copy of minutes from a meeting of the Investment Committee of Avista and Avista Offshore, approving the transactions contemplated by this Agreement and authorizing Avista and Avista Offshore to fund Investor LLC to meet its commitments hereunder.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Sponsor Parties means Sponsor, Vendor, and Utility, their respective successors and assigns, and each of their respective affiliates, agents, directors, officers, and employees.

  • Commitment Parties means the “Commitment Parties” as defined in the Commitment Letter.

  • Sponsor Entities means (i) CSL Capital Management, LLC, Ranger Energy Holdings, LLC and Torrent Energy Holdings, LLC and (ii) any of their respective Affiliates and any investment fund or other Person advised or managed by any Sponsor Entity; provided, however, that neither the Company nor any of its subsidiaries shall be considered Sponsor Entities hereunder.

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Parent Representatives has the meaning set forth in Section 5.2(a).

  • Parties has the meaning set forth in the Preamble.

  • Financing Parties means Parties financing the Project, pursuant to Financing Documents.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Covered Parties has the meaning set forth in Section 6.7(a).

  • Parent Related Parties means, collectively, (i) Parent or Merger Sub; and (ii) the former, current and future holders of any equity, controlling persons, Representatives, Affiliates (other than Parent or Merger Sub), members, managers, general or limited partners, stockholders and assignees of each of Parent and Merger Sub.

  • Acquisition Sub shall have the meaning set forth in the Preamble.
