  • The estimates of mineral resources and mineral reserves for various mineral properties in which Augusta or its subsidiaries hold an interest, as set forth in Augusta Public Disclosure Record, were prepared in all material respects in accordance with the Standards and Guidelines established by the Canadian Institute of Mining, Metallurgy and Petroleum, and in accordance with all applicable Laws, including the requirements of NI 43-101.

  • The documents comprising Augusta Public Disclosure Record (i) did not, as of their respective dates or respective dates of amendment, as applicable, contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, not misleading in light of the circumstances under which they were made, and (ii) complied in all material respects with applicable Securities Laws at the time they were filed or furnished.

  • Except as disclosed in the Augusta Public Disclosure Record, neither Augusta nor any of its subsidiaries is indebted to any director, officer, employee or agent of, or independent contractor to, Augusta or any of its subsidiaries or any of their respective affiliates or associates (except for amounts due as normal salaries and bonuses and in reimbursement of ordinary expenses).

  • SEC Filings has the meaning set forth in Section 4.6.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Public Filings means the reports, schedules, forms, statements and other documents filed by the Company or Bezeq with the SEC or the ISA, as applicable, and publically available at least two (2) Business Days prior to the date of this Agreement.

  • Risk Disclosure Statement the risk disclosure statement provided by the Broker to the Client before the opening of the Account and/or from time to time in form prescribed by the SFC from time to time with the current version set out in Part IV;

  • Company Proxy Statement has the meaning set forth in Section 3.5.

  • Disclosure Time means, (i) if this Agreement is signed on a day that is not a Trading Day or after 9:00 a.m. (New York City time) and before midnight (New York City time) on any Trading Day, 9:01 a.m. (New York City time) on the Trading Day immediately following the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent, and (ii) if this Agreement is signed between midnight (New York City time) and 9:00 a.m. (New York City time) on any Trading Day, no later than 9:01 a.m. (New York City time) on the date hereof, unless otherwise instructed as to an earlier time by the Placement Agent.

  • Information Statement has the meaning set forth in Section 6.6.

  • Form 8-K Disclosure Information As defined in Section 11.07.

  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Proxy Statement has the meaning set forth in Section 6.03(a).

  • Company SEC Documents shall have the meaning set forth in Section 4.7(a).

  • Press Release has the meaning set forth in Section 4.5.

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • Company SEC Reports shall have the meaning set forth in Section 3.8(a).

  • Public record or "public records" shall mean all documents, papers, letters, maps, books, photographs, films, sound recordings, magnetic or other tapes, electronic data-processing records, artifacts, or other documentary material, regardless of physical form or characteristics, made or received pursuant to law or ordinance in connection with the transaction of public business by any agency of North Carolina government or its subdivisions. Agency of North Carolina government or its subdivisions shall mean and include every public office, public officer or official (State or local, elected or appointed), institution, board, commission, bureau, council, department, authority or other unit of government of the State or of any county, unit, special district or other political subdivision of government.

  • Closing Press Release has the meaning set forth in Section 5.4(b).

  • 8-K Filing has the meaning set forth in Section 4.5.

  • Joint Proxy Statement shall have the meaning set forth in Section 6.3(a).

  • Shareholder Materials means the Fund’s prospectus, statement of additional information and any other materials relating to the Fund provided to Fund shareholders by the Fund.

  • Disclosure to information norm means the Policy shall be void and all premium paid hereon shall be forfeited to the Company, in the event of misrepresentation, mis-description or non-disclosure of any material fact.

  • Commercially Sensitive Information Schedule means the Schedule containing a list of the Commercially Sensitive Information.

  • Disclosure Statement means the written disclosure statement that relates to this Plan, as approved by the Bankruptcy Court pursuant to section 1125 of the Bankruptcy Code and Bankruptcy Rule 3017, as such disclosure statement may be amended, modified or supplemented from time to time.

  • Public statement means a statement made in the ordinary course of business of the public body with the intent that all other members of the public body receive it.
