Plaintiffs’ Counsels’ Attorneys’ Fees and Expenses, subject to Court approval, shall be paid only out of the Settlement Fund, and the Released Defendant Persons shall have no obligation with respect to the payment of said Attorneys’ Fees and Expenses.
The approval, finality and effectiveness of the Settlement shall not be contingent on an award of Attorneys’ Fees and Expenses, or on any Awards to Plaintiffs.
The Court approves the form, substance, and requirements of the Notice of Pendency of Class Action, Proposed Settlement, and Motion for Attorneys’ Fees and Expenses (“Notice”) and the Proof of Claim and Release form (“Proof of Claim”), substantially in the forms annexed hereto as Exhibits 1 and 2, respectively.
The administration and consummation of the Settlement as embodied in this Stipulation shall be under the authority of the Court, and the Court shall retain jurisdiction for the purpose of entering orders providing for awards of Attorneys’ Fees and Expenses to Plaintiffs’ Counsel, any Award to Plaintiffs, and enforcing the terms of this Stipulation.
However, the amount of this alternative cash payment shall be pro rata increased or decreased based on the funds remaining in the Settlement Fund following the payment of Attorneys’ Fees and Expenses Award, any Service Award, the Costs of Settlement Administration, and claims for Out-of-Pocket Losses.
