ALLETE Group definition

ALLETE Group means the Affiliated Group, or similar group of entities as defined under corresponding provisions of the laws of other jurisdictions, of which ALLETE is the common parent corporation, and any corporation or other entity which may be, may have been or may become a member of such group from time to time, but excluding any member of the ADESA Group.

Examples of ALLETE Group in a sentence

  • No provision of the Master Separation Agreement or any Ancillary Agreement shall be deemed to release any individual for any violation of any ALLETE non-competition guidelines or any agreement or policy pertaining to confidential or proprietary information of any member of the ALLETE Group, or otherwise relieve any individual of his or her obligations under such non-competition guideline, agreement, or policy.

  • However, nothing in this Section 7.2 shall (A) preclude any member of the ALLETE Group or the ADESA Group from presenting any claim or from exhausting any policy limit, (B) require any member of the ALLETE Group or the ADESA Group to pay any premium or other amount or to incur any Liability, or (C) require any member of the ALLETE Group or the ADESA Group to renew, extend or continue any policy in force.

  • This Agreement shall not be considered as an attempted assignment of any policy of insurance or as a contract of insurance and shall not be construed to waive any right or remedy of any member of the ALLETE Group in respect of any Insurance Policy or any other contract or policy of insurance.

  • At any time, at the request of any other Party, each Party shall cause each member of its respective ALLETE Group or ADESA Group, as applicable, to execute and deliver releases reflecting the provisions hereof.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • SpinCo shall have the meaning set forth in the Preamble.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Minority Group means any of the following racial or ethnic groups:

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • RemainCo shall have the meaning set forth in the Preamble.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • SpinCo Designees means any and all entities (including corporations, general or limited partnerships, trusts, joint ventures, unincorporated organizations, limited liability entities or other entities) designated by Parent that will be members of the SpinCo Group as of immediately prior to the Effective Time.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • ITT means the Purchaser’s invitation to tender dated (date ITT issued).

  • Purchaser’s Group means the Purchaser and its Affiliates from time to time;

  • VAT Group means a group for the purposes of the VAT Grouping Legislation.

  • SpinCo Indemnitees shall have the meaning set forth in Section 4.3.

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
