Actual Net Working Capital Deficit definition

Actual Net Working Capital Deficit means the amount, if any, by which Final Net Working Capital is less than Target Net Working Capital.
Actual Net Working Capital Deficit means the positive amount by which the Target Net Working Capital exceeds the Actual Net Working Capital. “Actual Net Working Capital Surplus” means the positive amount by which the Actual Net Working Capital exceeds Target Net Working Capital. “Actual Sellers Transaction Expenses” means all Sellers Transaction Expenses that remain unpaid as of immediately prior to the Closing (but calculated assuming that the Closing has occurred such that any Sellers Transaction Expenses triggered by the Closing are included in Actual Sellers Transaction Expenses). “Affiliate” means, with respect to any Person, any other Person that directly, or through one or more intermediaries, Controls or is Controlled by or is under common Control with such first Person; provided, that references to an “Affiliate” or “Affiliates” of Seller (or prior to the Closing, the Company or its Subsidiaries) shall be deemed to refer only to Persons Controlled by Seller. “Aggregate Exercise Price Amount” means an amount equal to (a) the aggregate Other EMI Option Exercise Amount, plus (b) the aggregate Minor EMI Option Exercise Amount plus (c) the aggregate Unapproved Option Exercise Amount plus (d) the aggregate exercise price that would be attributable to the Substitute Unapproved Options, Minor ISOs, Substitute ISOs if these were exercised in full, plus (e) the aggregate exercise price of all Company Warrants, minus (h) an amount equal to the employer security contributions that would be payable by the Company or any of its
Actual Net Working Capital Deficit means an amount equal to the deficit in the aggregate net working capital of the Group as at the Completion Accounts Date as shown in the Completion Accounts as agreed or determined in accordance with Schedule 8 Auditors means the auditors of the Company, Prime Accountants & Business Advisers Limited of 00 Xxxxxxx Xxxx Xxxxxxxx XX0 0XX Business Day means a day other than a Saturday or Sunday on which banks are ordinarily open for the transaction of normal banking business in London and Minneapolis Buyer’s Accountants means Ernst & Young (which refers to Ernst & Young Global Limited and its member firms) Buyer’s Group means the Buyer and Capella University, Inc.

  • Working Capital Deficit means the amount, if any, by which the Closing Working Capital is less than the Target Working Capital.

  • Net Working Capital Adjustment Amount means an amount (which may be a positive or negative number) equal to (a) the Closing Date Net Working Capital minus (b) the Target Net Working Capital.

  • Consolidated Working Capital Adjustment means, for any period on a consolidated basis, the amount (which may be a negative number) by which Consolidated Working Capital as of the beginning of such period exceeds (or is less than) Consolidated Working Capital as of the end of such period.

  • Net Working Capital Amount means, with respect to a Participating McNeil Partnership, the excess of the Positive Excess Cash Balance of such Participating McNeil Partnership over the cash on hand of such Participating McNeil Partnership immediately prior to the Effective Time.

  • Target Net Working Capital Amount means $5,000,000.

  • Net Working Capital Adjustment means (a) the amount by which Net Working Capital as of immediately prior to the Closing exceeds Target Net Working Capital or (b) the amount by which Net Working Capital as of immediately prior to the Closing is less than Target Net Working Capital, in each case, if applicable; provided, that any amount which is calculated pursuant to clause (b) above shall be deemed to be a negative number.

  • Net Working Capital Target means $0.00.

  • Target Working Capital Amount means Nineteen Million Dollars ($19,000,000).

  • Working Capital Adjustment Amount means the amount (which may be positive or negative) equal to the result of the Closing Net Working Capital minus the Target Working Capital Amount.

  • Estimated Net Working Capital shall have the meaning set forth in Section 2.3(a).

  • Working Capital Amount shall have the meaning specified in Section 3.4(e).

  • Estimated Working Capital Adjustment shall have the meaning set forth in Section 2.2(b).

  • Working Capital Adjustment has the meaning set forth in Section 2.15(b).

  • Estimated Closing Net Working Capital has the meaning set forth in Section 2.6(a).

  • Actual Working Capital has the meaning set forth in Section 2.7(a).

  • Working Capital Target means $0.

  • Adjusted Working Capital means the remainder of (a) the consolidated current assets of the Obligors minus the amount of cash and cash equivalents included in such consolidated current assets, minus (b) the consolidated current liabilities of the Obligors minus the amount of consolidated short-term Debt (including current maturities of long-term Debt) of the Obligors included in such consolidated current liabilities.

  • Net Working Capital means, at any time, Consolidated Current Assets at such time minus Consolidated Current Liabilities at such time.

  • Estimated Closing Working Capital has the meaning set forth in Section 2.04(a)(ii).

  • Target Net Working Capital means $0.

  • Adjusted Consolidated Working Capital means, at any time, Consolidated Current Assets (but excluding therefrom all cash and Cash Equivalents) less Consolidated Current Liabilities at such time.

  • Final Net Working Capital shall have the meaning set forth in Section 2.3(b)(ii).

  • Estimated Working Capital has the meaning set forth in Section 2.3(a).

  • Consolidated Net Working Capital means (a) all current assets of the Company and its Restricted Subsidiaries except current assets from Oil and Gas Hedging Contracts, less (b) all current liabilities of the Company and its Restricted Subsidiaries, except (i) current liabilities included in Indebtedness, (ii) current liabilities associated with asset retirement obligations relating to oil and gas properties and (iii) any current liabilities from Oil and Gas Hedging Contracts, in each case as set forth in the consolidated financial statements of the Company prepared in accordance with GAAP (excluding any adjustments made pursuant to FASB ASC 815).

  • Closing Date Net Working Capital means the Net Working Capital as of the Closing Date.

  • Closing Net Working Capital means the Net Working Capital as of the open of business on the Closing Date.
