Waiver of Jury Trial Binding Arbitration. (a) EACH PARTY HERETO HEREBY IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING DIRECTLY OR INDIRECTLY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR ANY OTHER LOAN DOCUMENT OR THE TRANSACTIONS CONTEMPLATED HEREBY OR THEREBY (WHETHER BASED ON CONTRACT, TORT OR ANY OTHER THEORY). EACH PARTY HERETO (A) CERTIFIES THAT NO REPRESENTATIVE, AGENT OR ATTORNEY OF ANY OTHER PERSON HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT SUCH OTHER PERSON WOULD NOT, IN THE EVENT OF LITIGATION, SEEK TO ENFORCE THE FOREGOING WAIVER AND (B) ACKNOWLEDGES THAT IT AND THE OTHER PARTIES HERETO HAVE BEEN INDUCED TO ENTER INTO THIS AGREEMENT AND THE OTHER LOAN DOCUMENTS BY, AMONG OTHER THINGS, THE MUTUAL WAIVERS AND CERTIFICATIONS IN THIS SECTION.

Waiver of Jury Trial Binding Arbitration. Employer and Employee, on behalf of themselves and their respective officers, directors, employees, agents, successors and assigns, agree that if they cannot resolve any dispute or claim between themselves, including but not limited to any dispute as to whether a particular matter must be arbitrated or any claim that a party was fraudulently induced into entering this Agreement or any part of this Agreement, the dispute or claim shall be decided solely and exclusively by final and binding arbitration. The location of the arbitration shall be in New Orleans, Louisiana. The arbitration shall be in lieu of litigation in State or Federal Court and in lieu of trial by judge or by jury, and shall instead be conducted American Arbitration Association ("AAA") in accordance with its applicable arbitration rules and procedures then in effect, except as modified by this paragraph. The parties agree that there shall only be one arbitrator and that such arbitrator shall be a former or retired judge. The parties agree that such arbitrator shall be selected by the parties in accordance with the then existing arbitration rules and procedures of AAA. The parties hereby agree to commence any arbitration within ninety (90) days following a demand therefor made by either of the parties and to conclude such arbitration proceeding within thirty (30) days following its inception. The arbitration may award any extensions of time deadlines to the prevailing party as may be appropriate. Judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction, and the parties shall be entitled to utilize the courts to enforce the award. The parties hereby knowingly, voluntarily, and irrevocably waive their right to a trial by jury and agree that if the foregoing binding arbitration provision is determined for any reason to be unenforceable or inapplicable to a particular dispute, then such dispute shall be decided solely by a judge (without the use of a jury) sitting in a court of competent jurisdiction. This binding arbitration and jury trial waiver provision shall survive termination of this Agreement.

  • Binding Arbitration If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
