Voting Trust Certificate. Upon the deposit with the Voting Trustee, by the Shareholders, of the certificate or certificates for the appropriate number of Common Shares held by them in the manner provided in Section 1, the Voting Trustee will promptly deliver to the Shareholders a voting trust certificate or certificates (the "Voting Trust Certificate or Certificates") in substantially the form attached hereto as Exhibit A, for the number of Common Shares so deposited by the Shareholders.
Voting Trust Certificate. A Voting Trust Certificate to be issued and delivered to the Grantor shall be in substantially the following form, the terms of which are herein incorporated by reference: VOTING TRUST CERTIFICATE Number VTC Shares THIS VOTING TRUST CERTIFICATE IS SUBJECT TO THE TERMS AND CONDITIONS SET FORTH IN THE VOTING TRUST AGREEMENT DATED AS OF AUGUST , 2001 BY AND AMONG INCUS CO. LTD., XXXXXX XXXX XXXX, AND AND , AS TRUSTEES, A COPY OF WHICH IS ON FILE AT THE OFFICE OF LAREDO NATIONAL BANCSHARES. SUCH COPY IS OPEN TO INSPECTION DAILY DURING BUSINESS HOURS BY ANY SHAREHOLDER OF LAREDO NATIONAL BANCSHARES OR ANY BENEFICIARY OF THE VOTING TRUST CREATED BY SUCH VOTING TRUST AGREEMENT. THIS CERTIFICATE AND THE INTEREST REPRESENTED HEREBY ARE TRANSFERABLE ONLY ON THE BOOKS OF SUCH TRUSTEES, UPON THE PRESENTATION AND SURRENDER HEREOF. THIS CERTIFIES THAT Incus Co. The holder of this Certificate will be entitled to receive payments from dividends, liquidating or other distributions or sales proceeds collected by the Trustees with respect to such number of shares, and, upon the termination of the Voting Trust Agreement, to delivery of such shares, or to delivery of the proceeds received from the sale of such shares, all as provided by the Voting Trust Agreement. The holder of this Certificate takes it subject to all terms and conditions of the aforesaid Voting Trust Agreement and by acceptance of this Certificate acknowledges that receipt of this Certificate is for investment purposes and not with a view to distribution.
Voting Trust Certificate. The Voting Trust Certificate shall be in the form attached as Exhibit A to this Agreement.
Voting Trust Certificate. On deposit by the Stockholder of a certificate or certificates of shares of stock hereunder, accompanied by instruments of transfer, the Trustee shall deliver to such Stockholder a Voting Trust Certificate for the same number of shares of stock as that represented by the certificate or certificates deposited. This certificate and the interest represented hereby is transferable only on the books of the Trustee upon presentation and surrender hereof. The holder of this certificate takes it subject to all the terms and conditions of the aforesaid Voting Trust Agreement and becomes a party to such Agreement and is entitled to the benefits thereof. Voting Trust Certificate. On receipt by the Trustee of the share certificates and transfer of the same into the name of the Trustee, the Trustee shall hold the certificates subject to the terms of this Agreement, and the Trustee shall thereupon issue and deliver to the surrendering Certificate Holder Voting Trust Certificates, representing the Certificate Holders' beneficial interest in the trust. The Voting Trust Certificates shall be in substantially the form of Exhibit A attached hereto.
Voting Trust Certificate. Upon receipt of the instrument of transfer and the Certificate(s) for the Shares, the Corporation and the Voting Trustee shall deliver to the Holder a Voting Trust Certificate in the form attached hereto as Schedule 2, evidencing the beneficial ownership by the Holder of the Shares held by the Voting Trustee on behalf of the Holder.
Voting Trust Certificate. When the Company receives the share certificates and transfers them to the name of the Trustees, the Trustees shall hold the share certificates subject to the terms of this Agreement, and the Trustees shall issue and deliver Voting Trust Certificates to the surrendering shareholders, in the form of Exhibit A to this Agreement.
Voting Trust Certificate. This is to certify that Telebrands Corp., a New Jersey corporation, has transferred to the Trustee under that certain Voting Trust Agreement dated as of October____, 2012 by and among Xxxxxxx X. Xxxxxx, Xx., as Trustee, FreeCast, Inc., a Florida corporation, and Telebrands Corp., a New York corporation (the “Voting Trust Agreement”) a certificate or certificates representing ____________ shares of common stock, par value $0.0001 per share, of FreeCast, Inc., a Florida corporation (the “Company”). A copy of the Voting Trust Agreement is on file at the office of the Company. This Voting Trust Certificate is issued in accordance with and is subject to the provisions of the Voting Trust Agreement.

XXXX, Shareholder, the undersigned as Trustees and Benihana of Tokyo, Inc. a copy of which Voting Trust Agreement is on file in the offices of Benihana of Tokyo, Inc at 0000 Xxxxxxxxx 00xx Xxxxxxx, Xxxxx, Xxxxxxx. This certificate and the interest represented hereby is transferable on the books of said Trustees upon its surrender properly endorsed. The holder of this certificate takes the same subject to all the terms and conditions of the aforesaid Voting Trust Agreement and, by acceptance of this certificate, assents thereto and agrees to be bound thereto with like effect as if such Voting Trust Agreement had been signed by him in person.
Voting Trust Certificate. (a) Within ten (10) days of the Effective Date hereof, the Voting Trustee shall issue in the name of each of the Stockholders a Voting Trust Certificate in respect of the Shares delivered by each Stockholder to the Voting Trustee pursuant to the terms hereof, which Voting Trust Certificate shall be in the form of Exhibit B attached hereto.
