Transition Period Availability/Assistance. For the period ending March 31, 2010, Xx. Xxxxxxxx agrees to be available for reasonable amounts of time, upon reasonable notice, at the request of Xx. Xxxxxxx X. Hilton to provide him assistance as he fully transitions to his role as the Company’s President and Chief Executive Officer. The Company agrees to reimburse Xx. Xxxxxxxx for reasonable and documented travel costs and travel expenses in connection with such services, including travel, lodging and meals; long distance telephone, internet connection and facsimile charges; postage and shipping charges. Within 15 days following expiration of the Transition Period, Xx. Xxxxxxxx will submit an invoice for reimbursable expenses. Payment will be made within 30 days from receipt of the invoice. The Company shall use reasonable best efforts to ensure that such assistance by Xx. Xxxxxxxx does not interfere with any subsequent employment or other service obligations of Xx. Xxxxxxxx to any subsequent employer or other entity.

  • Transition Period Upon termination of this Agreement, and for 90 consecutive calendar days thereafter (the “TRANSITION PERIOD”), Executive agrees to make himself available to assist the Company with transition projects assigned to him by the Board. Executive will be paid at a reasonable, agreed upon hourly rate for any work performed for the Company during the Transition Period.

  • Maximum Leverage Permit, as of any fiscal quarter end, the ratio of (a) Adjusted Portfolio Equity as of such fiscal quarter end to (b) Funded Debt as of such fiscal quarter end, to be less than 5.00 to 1.00.

  • Period of Agreement This Agreement shall remain in full force and effect for a five year contract term commencing October 17, 2013, at 12:01 a.m., and ending 12:00 midnight, October 16, 2018. At reasonable times after August 1, 2018, the parties will meet to attempt to negotiate a new contract to be effective for the period beginning after midnight, October 16, 2018.

  • Benchmark Unavailability Period Upon the Borrower’s receipt of notice of the commencement of a Benchmark Unavailability Period, the Borrower may revoke any pending request for a SOFR Borrowing of, conversion to or continuation of SOFR Loans to be made, converted or continued during any Benchmark Unavailability Period and, failing that, the Borrower will be deemed to have converted any such request into a request for a Borrowing of or conversion to Base Rate Loans. During a Benchmark Unavailability Period or at any time that a tenor for the then-current Benchmark is not an Available Tenor, the component of Base Rate based upon the then-current Benchmark or such tenor for such Benchmark, as applicable, will not be used in any determination of Base Rate.

  • Maximum Annual Operating Expense Limit The Maximum Annual Operating Expense Limit with respect to each Fund shall be the amount specified in Schedule A based on a percentage of the average daily net assets of each Fund.
