Transfer of Ownership by Contractor. Contractor shall take all actions necessary and transfer ownership of each Work Product to the Counties upon its Acceptance. As between the parties, the Work Products shall be deemed works made for hire of the Counties for all purposes of copyright law, and copyright shall belong solely to the Counties. In the event that any such Work Product is adjudged to be not a work made for hire, Contractor agrees to assign, and hereby assigns, all copyright in such Work Product to the Counties. Contractor shall, at the expense of the Counties, assist the Counties or its nominees to obtain copyrights, trademarks, or patents for all such Work Products in the United States and any other countries. Contractor agrees to execute all papers and to give all facts known to it necessary to secure United States or foreign country copyrights and patents, and to transfer or cause to transfer to the Counties all the right, title and interest in and to such Work Products. Contractor also agrees to waive and not assert any moral rights it may have in any such works.
